This letter agreement sets forth our <br />mutual understanding concerning the scope and terms of this engagement (“Agreement”). <br />1. The County Attorney shall perform limited legal services and legal representation. <br />2. The parties understand that the County Attorney has been retained to assist the Client <br />in a limited scope engagement regarding the topics set forth in Exhibit A. The <br />County Attorney will provide such advice and counsel to Client as may by requested <br />by Client and/or Client’s designated representative(s). Attendance of the County <br />Attorney at meetings of the Redwood City Together Leadership Council shall be <br />upon request of Client. Client is retaining the office of the County Attorney, not any <br />particular attorney, and the attorney services to be provided to the Client will not <br />necessarily be performed by a particular attorney. <br />3.This Agreement is for a term commencing July 1, 2025 and extending through June <br />30, 2028. This Agreement may be terminated at any time by Client by providing a <br />written notice of its intent to terminate, and that provides the date on which it wishes <br />to cease receiving legal services. The County Attorney may withdraw from <br />representing Client at any time as permitted under the Rules of Professional Conduct <br />of the State Bar of California and/or applicable law by providing a written notice of <br />ATTY/AGR/2025.163 - RWC TOGETHER RETAINER AGREEMENT <br />REV: 07-11-25 VR Page 1 of 7
