ATTY/RESO.0112/CC RESO.0112/CC RESO APPROVING THIRD AMENDMENT TO MASTER PROJECT AGREEMENT (YMCA PROJECT) <br />REV: 11-06-25 VR <br />Page 1 of 2 <br />RESOLUTION NO. 16366 <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD <br />CITY APPROVING AND AUTHORIZING THE EXECUTION OF A THIRD <br />AMENDMENT TO MASTER PROJECT AGREEMENT WITH THE YOUNG <br />MEN’S CHRISTIAN ASSOCIATION OF SILICON VALLEY <br />WHEREAS, in June, 2016, the City and Young Men’s Christian Association of <br />Silicon Valley (“YMCA-SV”) entered into an Exclusive Negotiating Agreement to explore <br />the possibility of developing a joint complex at Red Morton Park; and <br />WHEREAS, throughout 2017 and 2018, the City held a number of community <br />workshops and meetings focusing on design, traffic calming measures, future facility <br />needs and other issues for the proposed new facilities; and <br />WHEREAS, on December 16, 2019, the City Council in Resolution No. 15813 <br />certified the Final Environmental Impact Report (State Clearinghouse # 2016112041) for <br />the Project (“2019 EIR”) and adopted a statement of overriding considerations and a <br />mitigation monitoring and reporting program (“MMRP”) pursuant to the California <br />Environmental Quality Act (“CEQA”; Public Resources Code Section 21000 et seq.) and <br />the CEQA Guidelines (Title 14, Sections 15000 et seq. of the California Code of <br />Regulations); and <br />WHEREAS, the City and the YMCA-SV entered into a Master Project Agreement <br />dated December 16, 2019, which set forth the respective responsibilities, rights and <br />obligations of the parties for the development of a two-phase project involving a new <br />Veterans Memorial Building /Senior Center and associated public improvements (“Phase <br />1”), and a new YMCA facility and associated public improvements (“Phase 2”; together <br />with Phase 1, the “Project”) the Project at Red Morton Park; and <br />WHEREAS, the Master Project Agreement was amended by that certain First <br />Amendment to Master Project Agreement dated March 18, 2022, and that certain Second <br />Amendment to Master Project Agreement dated March 18, 2025; and <br />WHEREAS, YMCA-SV, has submitted an application for an Architectural Permit <br />for Phase 2 of the Project (the “Architectural Permit”) to construct a new two-story, 32 foot <br />tall, 36,535 square foot building including a health and wellness center, aquatic center <br />with indoor and outdoor pools and a childcare facility at 1455 Madison Avenue (the <br />“Property”), which application proposes to amend the original design of the Project by <br />increasing the YMCA building by 1,353 square feet, allowing alternative driveway access <br />on Madison Avenue, and providing planned sewer system upgrades as part as part of <br />Phase 2 of the Project; and <br />WHEREAS, with the submittal of the allocation for the Architectural Permit and <br />since the approval of the Conceptual Site Plan in 2019 through the Master Project <br />Agreement, the City and YMCA-SV have worked through various changes to the Project,
