COOPERATIVE AGREEMENT <br /> <br />THIS AGREEMENT, entered into this~"~ay of ~ , 2003, by and <br />between the City of Redwood City, a charter city and a'municipal corporation of the <br />State of California (hereafter "Redwood City"), and the City of Belmont, a body <br />politic and a municipal corporation of the State of California, (hereafter "Belmont"). <br /> <br />RECITALS <br /> <br />A. Redwood City and the State of California, Department of Transportation <br />(hereafter "State") entered into a Cooperative Agreement dated June 23, 2003 (the "State <br />Cooperative Agreement") in connection with the planning, design, funding, and <br />construction of the Route 101/Marine World Parkway/Ralston Avenue Interchange <br />Improvements Project (the "Project") at Highway 101 in San Mateo County, California, <br />District Agreement 4-190i-C. The Project includes modifications to the existing Route <br />1131/Ralston Avenue interchange and widening adjacent local city streets in Redwood <br />City and Belmont. A copy of the State Cooperative Agreement is attached hereto as <br />Exhibit A. The estimated cost of designing, building and administering the Project is <br />Nineteen Million Seven Hundred and Seventy Eight Thousand Dollars ($19,778,000). <br /> <br />B. Redwood City and Belmont desire the construction of the Project. The Project lies <br />primarily within the city limits of Belmont, but will benefit both Redwood City and <br />Belmont. <br /> <br />C. Redwood City and Belmont mutually desire to participate jointly in financing the <br />design and construction of Project, and enter into this Agreement to specify the terms <br />and conditions of each city's obligations in connection with the required property <br />acquisitions, financing, design, and construction of the Project. <br /> <br />SECTION I <br />Redwood City agrees: <br /> <br />1. Acquisition. <br /> <br /> A. To conclude the exchange or other acquisition of right of way from Oracle <br />Corporation, a Delaware corporation, within Redwood City that is required for the <br />Project, as more fully described in Exhibit B, including eminent domain activities, if <br />necessary, at no cost to Belmont, and in compliance with all applicable state and federal <br />laws and regulations. <br /> <br /> B.
