RD-00-55 <br /> <br />-- RESOLUTION APPROVING AND AUTHORIZING EXECUTION <br /> OF AMENDMENT TO AGREEMENT FOR EXCLUSIVE RIGHT <br /> TO NEGOTIATE, AS AMENDED <br /> <br /> (WESTERN INNISFREE VENTURES, LLC) <br /> <br /> WHEREAS, pursuant to Resolution No. RD-99-24 adopted May 17, 1999, <br /> this Agency entered into an Agreement for Exclusive Right to Negotiate (the <br /> "Agreement") with Western Investment Real Estate Trust, a California Business <br /> Trust, and the Innisfree Companies, a California corporation (the "Developers"), <br /> dated June 10, 1999, regarding a proposed Redevelopment Project commonly <br /> described as the Downtown Retail-Cinema Project; and <br /> <br /> WHEREAS, Western Innisfree Ventures, LLC, a California Limited Liability <br /> Company, comprised of Cinema Square, LLC, a California Limited Liability <br /> Company, and Western Properties Trust, a California Business Trust, is the <br /> successor to the aforesaid Developers; and <br /> <br /> WHEREAS, pursuant to Resolution No. RD-00-48 adopted May 22, 2000, <br /> the parties entered into a First Amendment to Agreement for Exclusive Right to <br /> Negotiate (the "First Amendment"); and <br /> <br /> WHEREAS, the term of the Agreement, as extended by the First <br /> Amendment, will expire October 31, 2000; and <br /> <br /> WHEREAS, an environmental review of the Project is being conducted <br /> pursuant to the California Environmental Quality Act (Pub. Resources Code <br /> § 21000, et seq.; "CEQA"); and <br /> <br /> RD-037 <br /> F ;ISharedlRedwoodlCouncillReso <br /> DES:rg <br /> 10/04/00; 10/09/00R <br /> <br /> <br />
