� � ORIGIIV�L <br /> AGREEMENT FOR DOWNTOWN EVENT PROGRAMMING <br /> (Labadie Productions) <br /> THI AGREEMENT is made and entered into as of the � day of <br /> , 2012, by and between the CITY OF REDWOOD �ITY a charter <br /> city and munici al corporation of the State of California ("City"), and Bruce Labadie of <br /> Labadie Produ tions, a sole proprietorship ("Consultant") (collectively, the "Parties"). <br /> RECITALS <br /> A. City has received a Target Family Days grant to host a total of three <br /> themed family-oriented events in downtown Redwood City during July, August, and <br /> September 2012, respectively. City does not have the staffing resources to organize <br /> and staff these events. Consequently, City uses a portion of these grant funds to obtain <br /> th� proTessional services of an event coordinator that is experienced in organizing <br /> public events and activities for downtowns. <br /> B. Consultant has the necessary experience in providing professional <br /> services and advice related to securing entertainment and managing outdoor public <br /> events. <br /> C. The Consultant is expected to achieve the desired results of attracting <br /> local residents as well as residents and visitors within the rest of the San Francisco Bay <br /> Area region to come to and invest in the City's downtown. Hosting the Target Family <br /> Days events in downtown Redwood City provides the public benefit of bringing activity <br /> as�d commerce to the downtown area, which the City has expended substantial effort <br /> and resources to revitalize. <br /> D. The Consultant has affirmed its willingness and ability to perform such <br /> work as prescribed in the scope of services. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Consultant to perForm, and Consultant agrees to <br /> render, those services (the "Services") that are defined in attached Exhibit "A," which is <br /> incorporated by this reference in accordance with this Agreement's terms and <br /> conditions. <br /> 2. Standard of Performance. While performing the Services, Consultant will <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> members of Consultant's profession practicing in the Metropolitan Northern California <br /> Area, and will use reasonable diligence and best judgment while exercising its <br /> professional skill and expertise. <br /> ATTY/AGR/2012. 021 .� <br /> 022812 <br />
