The Owners and City are sornetimes eollectively referred to herein as the"parties"and individually as a"party.,, RECITALS ' A. By virtue of a grant from the State Lands Commission,the<City owns and c�ntrols the watex ("Redwood Creek"� and some land adjaeenf to the properly located at 1548 Maple Street, Red�vood City, California (commanl� referred to as Iaocl�town (the PrQperty,>�. B. There are currently various boat and floating houses, including house boats, live= abaards and sailboats, located at the marina along Redwood Creek ("Nlarina"), the owners afwhich are referred to as"Boatowners". C. Fred Earnhardt and his controlled corporation Docktown Marina, Inc. (eollectively "Earnhardt") used io rnanage pursuant to a Revocable Permit with the City which Earnhardt terxninated as of February 28,2013. D, Ii�i•esponse;the City sent notiees dated February 28,2013 to all Boatowners, informing them of Earnhardt''s termination and that the City was assuining the management of the Marina effective March 1,2013. The City alsa infoi-ined the Boatowners that it was working with tlie Owners to obtain an agree�nent for the use of some p�rtion af the Propei�ty. E. Since taking over the management and operation of the Marina,the Gity has commeiiced the process of entering into licenses with those Boatowners who have eleeted to remain at t�e Marina and with the Yacht Club. Mast recently,the City sent notices to the Boatowners dated May 22, 2013, s�ekiiig that completed and signed license agreements be submitted to the City for execution by July 1, 2013. F. The Owners own the Property, depicted in Exhibit A, attached hereto and in€orporated b�reference lierein. ' G. The Owners intend to sell the Property and lla��e determined that requiies the Property be cleared of all tenants, subtenants axrd encun�brances. The Owners' anticipate that a fiih�re Marina on Redwood Creek or in the nearby area will be operated fi•om the land that the City owns or acquires for that purpose, and won't require access to land that the Owners retain ownership of.
