The Owners and City are sornetimes eollectively referred to herein as <br /> the"parties"and individually as a"party.,, <br /> RECITALS ' <br /> A. By virtue of a grant from the State Lands Commission,the<City owns and c�ntrols the <br /> watex ("Redwood Creek"� and some land adjaeenf to the properly located at 1548 <br /> Maple Street, Red�vood City, California (commanl� referred to as Iaocl�town (the <br /> PrQperty,>�. <br /> B. There are currently various boat and floating houses, including house boats, live= <br /> abaards and sailboats, located at the marina along Redwood Creek ("Nlarina"), the <br /> owners afwhich are referred to as"Boatowners". <br /> C. Fred Earnhardt and his controlled corporation Docktown Marina, Inc. (eollectively <br /> "Earnhardt") used io rnanage pursuant to a Revocable Permit with the City which <br /> Earnhardt terxninated as of February 28,2013. <br /> D, Ii�i•esponse;the City sent notiees dated February 28,2013 to all Boatowners, <br /> informing them of Earnhardt''s termination and that the City was assuining the <br /> management of the Marina effective March 1,2013. The City alsa infoi-ined the <br /> Boatowners that it was working with tlie Owners to obtain an agree�nent for the use <br /> of some p�rtion af the Propei�ty. <br /> E. Since taking over the management and operation of the Marina,the Gity has <br /> commeiiced the process of entering into licenses with those Boatowners who have <br /> eleeted to remain at t�e Marina and with the Yacht Club. Mast recently,the City sent <br /> notices to the Boatowners dated May 22, 2013, s�ekiiig that completed and signed <br /> license agreements be submitted to the City for execution by July 1, 2013. <br /> F. The Owners own the Property, depicted in Exhibit A, attached hereto and <br /> in€orporated b�reference lierein. ' <br /> G. The Owners intend to sell the Property and lla��e determined that requiies the Property <br /> be cleared of all tenants, subtenants axrd encun�brances.
