NO. 3/CITY OF REDWOOD CITY AND SAN CARLOS FIRE & EMERGENCY SERVICES <br />REV: 06-20-24 VR <br />Page 1 of 28 <br />THIRD AMENDED AND RESTATED AGREEMENT BETWEEN CITIES <br />OF REDWOOD CITY AND SAN CARLOS FOR FIRE & EMERGENCY <br />SERVICES <br /> <br />This Third Amended and Restated Agreement (“Agreement”) is entered into as of <br /> , 2024 (“Effective Date”) by and between the City of Redwood City, <br />a charter city and municipal corporation of the State of California (“Redwood City”), and <br />the City of San Carlos, a municipal corporation of the State of California (“San Carlos”), <br />collectively “Participating Agencies.” <br /> <br />RECITALS <br /> <br />WHEREAS, the Participating Agencies are public corporations organized and <br />operating under the laws of the State of California; and <br /> <br />WHEREAS, the Participating Agencies have the authority to perform fire protection <br />activities, emergency medical services, and other related activities for their respective <br />agencies and for each other; and <br /> <br />WHEREAS, the Participating Agencies entered into that certain Agreement <br />between Cities of Redwood City and San Carlos for Fire and Emergency Services dated <br />July 7, 2011, as amended by a First Amendment dated October 19, 2011 and a Second <br />Amendment dated August 13, 2012, for the delivery of certain fire and emergency <br />services (collectively, “Original Agreement”); and <br /> <br />WHEREAS, the Original Agreement was amended and restated on July 1, 2013 <br />(the “Amended and. Restated Agreement”); and <br /> <br />WHEREAS, in connection with the Amended and Restated Agreement, the <br />Participating Agencies entered into that certain Agreement for Transfer of Fire Services <br />Personnel from the City of San Carlos to the City of Redwood City, dated July 1, 2013 <br />(the “Transfer Agreement”), and certain sections of the Transfer Agreement, including, <br />among others, Section 2.6.1 regarding the eligibility of certain employees for the San <br />Carlos longevity incentive benefit, survive and remain in full force and effect; and <br /> <br />WHEREAS, the Participating Agencies entered into a Second Amended and <br />Restated Agreement, dated May 18, 2018 for the period of July 1, 2018 through June 30, <br />2023; and <br /> <br />WHEREAS, the Participating Agencies executed an Addendum to the Second <br />Amended and Restated Agreement on May 22, 2023 to extend the term through March <br />31, 2024 and a Further Addendum on March 11, 2024 to extend the term to August 31, <br />2024; and <br /> <br />WHEREAS, this contractual arrangement is intended to achieve an effective and <br />efficient delivery of service from Redwood City to San Carlos to the benefit of both <br />Docusign Envelope ID: E05468C4-A699-4430-A510-E42D7232B74D <br /> July 8 <br />2024-075 <br />Contract No. <br />Resolution No. <br />451
