PF-02 June 2 1986 A RESOLUTION OF THE REDWOOD CITY PUBLIC FACILITIES AND INFRASTRUCTURE AUTHORITY AUTHORIZING PURCHASE OF CERTAIN REAL PROPERTY, EXECUTION OF THE LEASE AGREEMENT, INDENTURE OF TRUST AND BOND PURCHASE CONTRACT, AND APPROVING FORM OF PRELIMINARY OFFICIAL STATEMENT AND AUTHORIZING ITS DISTRIBUTION; AND RESCINDING RESOLUTION NO. PF-01 WHEREAS, the City Council of the City of Redwood City (the "City") has adopted Ordinance No. 1928 (the "Ordinance"), thereby creating the Redwood City Public Facilities and Infrastructure Authority for the purpose of facilitating the acquisition and construction of a fire station, a library, the renovation of city hall, the installation of a culvert, a telephone system and other public improvements (collectively, the "Projects"); and WHEREAS, in connection with the acquisition and construction of the Projects, the Authority proposes to purchase from the City of Redwood City, the certain real property belon§in9 to the City, as more fully described in Exhibit A (the "Leased Premises") at a purchase price of $13,912,000; and WHEREAS, under the provisions of the Ordinance, the Authority is authorized to acquire real property and to issue and sell bonds for the foregoing purposes and to execute documentation in furtherance of these powers; and WHEREAS, in connection with the Authority's financing of the acquisition and construction of the Projects and other public facilities and infrastructure through the issuance of the Authority's Bonds, there has been presented to the governing body, and the governing body has reviewed and considered certain documentation, as follows: 1. A Lease Agreement (the "Lease"), dated as of June 15, 1986, by and between the Authority and the City, by which the Authority will lease the Leased Premises to the City. 2. An Indenture of Trust (the "Indenture") dated as of June 15, 1986, by and between the Authority and Security Pacific National Bank, as Trustee (the "Trustee"), under which the Authority has assigned its interests under the Lease to the Trustee to secure the payment of the Series 1986 Lease Revenue Bonds (Capital Improvement Projects) (the "Bonds") authorized to be issued thereunder. 3. A Purchase Contract (the "Purchase Contract"), to be dated the date that Rauscher Pierce Refsnes, Inc. as underwriter (the "Underwriter") agrees to purchase the bonds, by and between the Authority and the Underwriter, whereby the Authority has agreed to sell and deliver the Bonds to the Underwriter upon payment of the purchase price therefor.
