PF-02 June 2 1986 <br /> <br /> A RESOLUTION OF THE REDWOOD CITY PUBLIC FACILITIES AND <br /> INFRASTRUCTURE AUTHORITY AUTHORIZING PURCHASE OF <br /> CERTAIN REAL PROPERTY, EXECUTION OF THE LEASE AGREEMENT, <br /> INDENTURE OF TRUST AND BOND PURCHASE CONTRACT, AND <br /> APPROVING FORM OF PRELIMINARY OFFICIAL STATEMENT AND <br /> AUTHORIZING ITS DISTRIBUTION; AND RESCINDING RESOLUTION NO. PF-01 <br /> <br /> WHEREAS, the City Council of the City of Redwood City (the "City") has <br />adopted Ordinance No. 1928 (the "Ordinance"), thereby creating the Redwood City <br />Public Facilities and Infrastructure Authority for the purpose of facilitating <br />the acquisition and construction of a fire station, a library, the renovation of <br />city hall, the installation of a culvert, a telephone system and other public <br />improvements (collectively, the "Projects"); and <br /> <br /> WHEREAS, in connection with the acquisition and construction of the <br />Projects, the Authority proposes to purchase from the City of Redwood City, the <br />certain real property belon§in9 to the City, as more fully described in <br />Exhibit A (the "Leased Premises") at a purchase price of $13,912,000; and <br /> <br /> WHEREAS, under the provisions of the Ordinance, the Authority is <br />authorized to acquire real property and to issue and sell bonds for the <br />foregoing purposes and to execute documentation in furtherance of these powers; <br />and <br /> <br /> WHEREAS, in connection with the Authority's financing of the acquisition <br />and construction of the Projects and other public facilities and infrastructure <br />through the issuance of the Authority's Bonds, there has been presented to the <br />governing body, and the governing body has reviewed and considered certain <br />documentation, as follows: <br /> <br /> 1. A Lease Agreement (the "Lease"), dated as of June 15, 1986, by and <br /> between the Authority and the City, by which the Authority will lease <br /> the Leased Premises to the City. <br /> <br /> 2. An Indenture of Trust (the "Indenture") dated as of June 15, 1986, by <br /> and between the Authority and Security Pacific National Bank, as <br /> Trustee (the "Trustee"), under which the Authority has assigned its <br /> interests under the Lease to the Trustee to secure the payment of the <br /> Series 1986 Lease Revenue Bonds (Capital Improvement Projects) (the <br /> "Bonds") authorized to be issued thereunder. <br /> <br /> 3. A Purchase Contract (the "Purchase Contract"), to be dated the date <br /> that Rauscher Pierce Refsnes, Inc. as underwriter (the "Underwriter") <br /> agrees to purchase the bonds, by and between the Authority and the <br /> Underwriter, whereby the Authority has agreed to sell and deliver the <br /> Bonds to the Underwriter upon payment of the purchase price therefor. <br /> <br /> PF-02 <br /> <br /> <br />
