Reference is made to that certain real pro�erty sitt�ted in the City of Redwood City, <br /> County of San Mateo, State of California, known as the One Marina site and described on E�ibit"A", <br /> attached hereto and incorpomted by this reference �s if fulty set forth herein (the "Praperty"). The <br /> Property is being developed as �condominium project. The Developer expects to transfer its interest in <br /> the Propeity to One Marina Owner's Association ("HOA"}, � C�lifornia nonprofit mutual benefit <br /> corporation, which HOA shall be ultimately responsible for the m�nagement, operarion and govemance <br /> of the Property. <br /> B. In connection with its development of the Prciperiy as a residential community, the <br /> Developer submitted to the City a Precise Plan,PC Permit,and Coastruction Documents,which include, <br /> inter alia, landscaping plans for areas within Easements or property where the City holds an inierest <br /> ("Plans"),all ofwhich Plans have been approved by the City. The Plans provide for inst�llation of certain <br /> landscaping, pedestrian lighting, irrigation, paths, and site furnishings ("Impmvements") within that <br /> portion of the City owned oasements("Maintenance Area"j�s the Improvements and M�intenance Area <br /> are more specifically shown on Exhibit"B"attached hereto and by this reference made a part henrof. <br /> C. The Developer has submitted a final map for the Property, which has been reviewed by <br /> the City Engineer and is being approved concurrently with this Agreement("Final Map"). <br /> D. The Developer recognizes that the City's �pproval of the Final M�p is based on the <br /> Developer's cornmitment to the long-term mainten�nce, repaiir, care and, if and when necessary, <br /> replacement of the Improvements, and that the Final 1VIap wauld not have been approved without the <br /> assurance that this Agreement would be executed by the Develaper. <br /> E.
