DUPLICATE <br /> ORIGINAL <br /> AGREEMENT FOR PRi}DUCTS ANDIOR SERVICES <br /> FOR <br /> CALOPP.S DESIGN, PROGRAMMING AND APPLlCATION SUPPORT <br /> This Agreer�ent is made and entered into as of the 3rd day ofNovemher, 2014 <br /> by and between the Gity of Faster City herein�fter called "�C1TY" and the City of <br /> Redwood Citv hereinafter called "VENDOR°ar"RWC". <br /> RECITAL� <br /> This Agreement is ent�red into with reference to the foliowing facts and circumstances: <br /> , A. That CITY desires to engage VENDaR ta provide a product andlor services to the <br /> CITY; <br /> B. That VE�ID(JR'is qualified to provide the product andfor services to the CfTY and; <br /> C.-That the CITY has elected to engage VENDOR upon the terms and conditions as <br /> - hereanafter set forth. <br /> 1. A. Services. The senrices to be performed by VENDOR under this Agreement <br /> are set forth in Exhibit A, which is, by this reference, incorporated herein and <br /> made a part hereofi as though�it v�rere fully set forth herein. <br /> Performance of the work specified in said Exhibit is hereby made an obllgation of <br /> VENDOR under this Agreement, subject to any changes that may be made <br /> subsequently hereto upon the mutual written agreem�nt of the said parkies. <br /> Where in c�nflict, the term� of this Agreement superse�le and prevail over any <br /> terms set fiorth in Exhibit A. <br /> B. Product. The product to b� �upplied by VENDOR under this Agreement is set <br /> forth in E3chibit A which is, by this reference, irrcorporated herein and made a part <br /> hereof as though it were fully set forth herein. <br /> Timely delivery of the product spec�ed in sa.id Exhibit A is hereby made an <br /> obligation of VENDOR under this Agreement, subject to any changes that may <br /> be made subsequently hereto upon the mutual written agreement of the said <br /> parties. <br /> 2. Term: Termination.
