AGREEMENT FOR AUTOMATED PARKING GUIDANCE SYSTEM AND ASSOCIATED SERVICES Cleverciti Systems, Corp. HIS AGREEMENT is made and entered into as of the %day of 2020 (the "Effective Date"), by and between the CITY OF R14DWOOD CITV a charter city and municipal corporation of the State of California ("CW'), and Cleverciti Systems, Corp., a Illinois Corporation ("Contractor" or "Cleverciti") (each a "Party" and collectively "the Parties"). RECITALS A. City requires the services of a technology provider to provide and install an automated parking guidance system for Downtown Redwood City. The associated software and platform are needed to aggregate parking data and provide information to the public. B. A Request for Proposal (RFP) was published on the City's website in February 2020 soliciting qualified contractors for the Parking Guidance System Project. Contractor has the necessary experience in providing such services. Based on the evaluation of the proposals received, the Contractor was selected for this project. C. Contractor shall provide and install sensors, signs and services to detect and display information regarding the availability of parking in Downtown Redwood City. D. Contractor has the necessary experience in providing such services. E. Selection of Contractor is expected to meet the City's requirements. F. Contractor has the qualifications, experience, hardware, software and facilities to meet the City's requirements as set forth in this Agreement. G. The City desires to contract with the Contractor to perform the Scope of Services as defined in Exhibit "A" of this Agreement, which is attached and incorporated herein by reference. AGREEMENT NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Definitions. For purposes of this Agreement, the following definitions apply: 1.1. "Agreement" means these general terms and conditions and all exhibits attached hereto.
