AGREEMENT FOR <br /> INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br /> REDWOOD CITY AND THE BAY AREA WATER SUPPLY AND <br /> CONSERVATION AGENCY <br /> th <br /> THIS AGREEMENT is made and entered into this I day of t , , 2010, by and <br /> between the CITY OF REDWOOD CITY, hereinafter referred to as "RWC ", and The Bay Area <br /> Water Supply and Conservation Agency, hereinafter referred to as "BAWSCA," and <br /> collectively herein called the "Parties." <br /> RECITALS <br /> This Agreement is entered into with reference to the following facts and circumstances: <br /> WHEREAS, BAWSCA desires to locate, in RWC datacenter, a load balancing, <br /> disaster recovery BAWSCA virtual webserver; and <br /> WHEREAS, RWC is qualified to provide such services to BAWSCA; and <br /> WHEREAS, BAWSCA has elected to engage 'the services of RWC upon the <br /> terms and conditions as hereinafter set forth. <br /> TERMS AND CONDITIONS <br /> 1. Services. <br /> The services to be performed by RWC under this Agreement shall include those <br /> services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br /> hereof as though it were fully set forth herein. The Parties do not intend that as part of the <br /> scope of services, BAWSCA will disclose or provide to RWC, and agree that BAWSCA will <br /> refrain from disclosing or providing to RWC, any information that BAWSCA regards as (i) <br /> confidential or proprietary, and /or (ii) having any value to any person or entity other than <br /> BAWSCA and its member agencies. BAWSCA also warrants that the information disclosed or <br /> provided to RWC is information readily available from public sources and that such information <br /> in no way includes personal data to which individual privacy rights would attach. <br /> 1 <br /> 2694537.1 <br />
