Three of the five parcels to be <br /> developed as office building sites on the Property were conveyed to Centrum V Associates, a <br /> California general partnership ("Centrum V") , Centnun IV Associates, a California general <br /> partnership ("Centrum IV"), and Centrum III Associates, a California general partnership <br /> ("Centrum III"), respectively, all of which are partnerships formed to own and develop the <br /> respective parcels. Centrum V, Centrum IV and Centrum III each subsequently conveyed the fee <br /> interest in its respective parcel to Oracle's predecessor in interest, Oracle Real Estate <br /> Corporation. Centrum also conveyed the fee interest in the two other office building sites, as CC, <br /> well as two additional parcels of the Property, to Oracle Real Estate Corporation. In addition, <br /> Centrum Owners is the beneficial owner of various easements on the Property and has been <br /> r-) <br /> conveyed the common areas of the Property. Centrum, Oracle, and Centrum Owners, as <br /> successors in interest to Campeau, have been assigned and have assumed the rights and <br /> obligations of Developer under the Original Development Agreement, as amended. <br /> C. The Original Planned Development Permit was amended on May 17, 1988, by <br /> PD- 10305-8, to modify the design and the building area of the office buildings to be constructed <br /> in the Project, which amended permit was superseded on April 18, 1989 by Planned <br /> Development Permit PD-10302-9 (the "Existing Planned Development Permit"). The Existing • <br /> Planned Development Permit, among other things, modified the height, area and location of the <br /> office buildings and permitted uses of the Property. City, Centrum, Oracle, Centrum III and <br /> Centrum Owners entered into that certain Amendment to Development Agreement, dated as of <br /> January 31, 1991 (recorded on February 7, 1991, and filed as Document no. 91013945 in the <br /> Official Records of San Mateo County, California ("First Amendment"), to reflect the then <br /> 2 0669212MF 107!.DOC: 122365 <br />
