7.1.B. - Page 22 <br /> all claims, losses or costs. In the event a City or the Cities are <br /> sued and the suit relates in any manner to actions taken by the <br /> Animal Control Contractor or the Animal Licensing Contractor <br /> solely in the unincorporated area of the County, the County will <br /> hold harmless, indemnify and defend the City or Cities named as <br /> a defendant or defendants in that suit from and against any and <br /> all claims, losses or costs. <br /> e. The County agrees that in its Service Agreements with the Animal <br /> Control Contractor, the County will require the Animal Control <br /> Contractor to indemnify each City to the same extent that the <br /> County is indemnified and to name each City as a third party <br /> beneficiary to the County's Agreements with the Animal Control <br /> Contractor and/or the Animal Licensing Contractor. <br /> f. This indemnification and hold harmless clause shall survive <br /> termination of this Agreement and shall apply whether or not any <br /> insurance policies shall have been determined to be applicable to <br /> any of such damages or claims for damages. <br /> 5.14 Non-Discrimination. No person shall illegally be excluded from <br /> participation in, denied the benefits of, or be subjected to discrimination <br /> under this Agreement on account of their race, color, religion, national <br /> origin, age, sex, sexual orientation, ancestry, marital status, pregnancy, <br /> childbirth or related conditions, medical condition, mental or physical <br /> disability or veteran's status. <br /> 5.15 Notices. Any notice, request, demand, or other communication required <br /> or permitted under this Agreement shall be deemed to be properly given <br /> when both: (1) transmitted via facsimile to the telephone number listed <br /> below or transmitted via email to the email address listed below; and (2) <br /> sent to the physical address listed below by either being deposited in the <br /> United States mail, postage prepaid, or deposited for overnight delivery, <br /> charges prepaid, with an established overnight courier that provides a <br /> tracking number showing confirmation of receipt. <br /> Any notices required by or given pursuant to this Agreement to any City <br /> shall be in writing and shall be delivered to the Clerk of that City at the <br /> address of the principal business offices of the respective City listed in <br /> the introduction of this Agreement or at such other address as any City <br /> may specify in writing to the County. <br /> In the case of County, to: <br /> Name/Title: Jean Fraser, Chief of the Health System <br /> Address: 225-37th Avenue San Mateo, CA 94403 <br /> Telephone: 650.573.2912 <br /> 18IPage February 5 , 2015 <br /> ATTY/AGR/2015.057/SAN MATEO COUNTY-ANIMAL CONTROL SERVICES <br />
