11.3 Providing Certificates of Insurance and Endar'sements. Prior ta Ci#y's execuiion of this Agreement, Consuitant shafl provide to City certificates df insurance and above-referenced endorsements sufficient to satisfiaction of City Ftisk Manager. !n no event shall Consui#ant c�rnmence any work or provide any Services under this Agreement unfiil certificates of insuranee and endarsements have been accepted by City's Risk Manager. 1'[.4 Failure to Maintain Coveraqe. If 1Consultant fails to comply with thes� insurance requirements, then Ci#y will have the option to declare Consultant in breach, or may purchase replacement insurance or pay the premiums tha# are due on existing policies in arder to maintain the required cauerages. Consultant is responsibfe far any payments made by City ta obtain or maintain insurance and City may callect these payments from Consultant or deduct #he amount paid from any sums due Gonsultant under this Agreement. 1'i.5 Submission of Insurance Pol�cies. Gity reserves the right �v require, at any tims, complete copies of any or al! required insurance policies and endorsements. '(2. Business �icense. Consultant wiEl obtain and maintain a City of Redwond City Business �icense for the term of the Agraement, as may be amended fram time-to-time. 13. Maintenance of Records. Consultant wiil main#ain complete and accurate recards with respect ta casts incurred under this Agreement. All recards wil! be clearly identifiable. Consultant will aflvw a representative of City during norma! business hours ta examine, audit, and make transcripts ar copies of records and any other documents created pursuant to this Agreement. Consultant wiil allow inspeefiion of all wark, data, documents, proceedings, and activities reia#ed ta the Agreement for a period of three (3)years from the date of final payment under this Agreement, 14. Ownership of Documents. Afl work producf produced by Consultant or its agents, employees, and subcontractors pursuant to this Agreement is the property ofi City_ In the event this Agreement is terminated, all work product producec� by Cansultant ar its agents, employees an�i subcontractors pursuant to this Agreement wifl be delivered to City pursuant to the termination clause of this Agreement. Consultant will have the right to make one (1 j eopy of the warEc product far Consultant's recards. 15. Co�yriqhts. Consultant agrees that all copyrights that arise from the Services will be vested �n City and Consultant relinquishes al� claims to the copyrights in favor of Gity. 16. Notices.
