6.3.C. - Page 13 <br /> 4. Fee for First Year of Agreement. For the first year of this Agreement, City shall <br /> pay County the sum of eighty-six thousand five hundred dollars ($86,500) for use of the <br /> Parking Spaces as described herein. The fee set forth in this Section 4 of these Terms <br /> and Conditions (the "Annual Fee") shall remain in effect for the remaining term of the <br /> Agreement unless the fee is subsequently adjusted pursuant to Section 5 of these <br /> Terms and Conditions. <br /> 5. Use Monitoring and Fee Adjustment. During the first year of this Agreement and <br /> on an annual basis thereafter, if requested in writing by either Party, City and County <br /> shall track usage of the Parking Spaces during the City Hours of Operation ("Usage <br /> Review"). City and County shall then meet to evaluate the usage data and, on that <br /> basis, agree on a reasonable adjustment to the Annual Fee under the Agreement. <br /> Notwithstanding the foregoing, the Parties agree that in no event shall the Annual Fee <br /> be reduced to an amount less than eighty-six thousand five hundred dollars ($86,500) <br /> during the term of this Agreement. <br /> 6. Security. During the City Hours of Operation, City shall patrol the Parking <br /> Structure and the Parking Lot with, at a minimum, the same level of services as <br /> provided at City parking structures and parking lots. In any event, the City agrees that, <br /> during the term of this Agreement, it shall provide no fewer than the same number of <br /> patrols of the Parking Structure and Parking Lot each evening as provided at City <br /> parking structures and parking lots. <br /> Additionally, City shall patrol the Parking Structure and Parking Lot during the <br /> Annual 4th of July Festivities and shall clean up the Parking Structure and Parking Lot at <br /> the conclusion of that event. <br /> 7. Rules and Regulations. City may, from time to time, adopt and/or amend rules <br /> and regulations relating to public use of the Parking Structure and Parking Lot during <br /> the City Hours of Operation. In the event that the City adopts and/or amends rules and <br /> regulations relating to public use of the Parking Structure and Parking Lot during the <br /> City Hours of Operation, the City shall provide the County with prior written notice of <br /> such adoption and/or amendment, along with a copy of the rules and regulations. <br /> 8. Cleaning. City shall cause the Parking Spaces to be swept every other week on <br /> Sunday evening or, if the following Monday is a County Holiday, that Monday evening. <br /> The City shall provide the County with written verification, on a semi-annual basis, that <br /> the sweeping called for in this Agreement has been provided during the time period <br /> covered by the verification. Further, twice a year, County shall power-wash the Parking <br /> Spaces. The Parties shall evenly split the cost of power-washing and the County will <br /> invoice the City for its share of the reasonable cost of the power-washing.
