<br /> CLZENT Duties — CLIENT shall provide to PYRO a sui#able site ("Site") for tl�e Productian,
<br /> seeurity far the Site as set forth in Paragraph 61�ereof, access to the Site, any pernussion necessary tp
<br /> utiliz�the Site for the Froduction,and the other things on its gart to be performed as more speci��cslty set
<br /> forth below in this A�reement and in the Scope of Work. All 5ite arrangements are snbject to PYRO's
<br /> reasanable approval as to g�rotechnic safety,suitability,and security. All athcr conditians of the"site shall
<br /> be fhe resgonsibility of CLTEN'I`, including, but not limited to, access, use, contral,parking and general
<br /> safety with respeet to the pubiic,CT.IENT personnel and ather eontractors.

<br /> 1,2 ul��,-In the event khat the Fee is not paid itt a timely manr�er, CI,IENT will be responsible f�r
<br /> the paymeni of 1.5%o incerest per month or IS%annualiy on the unpaid balance. tf litigation arises out of
<br /> this Agreement, the prevailing party sha11 l�entitled to reasonable costs incurred in cannectian with the
<br /> l.itigatit�n,including,but nat lirrrited to attorneys'fees.
<br /> 1.3 j;����ns�s—PYRO shall pay aIl nornial expenses�ireetly related ta the Pr�duction including freight,
<br /> insurance as outlis�ed,pyrotechnic prc�ducts,pyrotechnic equipment,experience�pyrotechnic personnel ta
<br /> set np and discharge th�pyrotechnics and those additional iterns as outlined as PYR�'s responsibility in
<br /> the Scope of Work.CLIENT shall pay all costs related to the Production not supplied by PY�.O inciuding,
<br /> but not iimited to,those i,terns outtined as CLIENT's responsibility in this Agreement and Scope of Work.
<br /> 2. `p� RiEj�,t: - PYRCI represenfs and warrants that it owns all eapyrights, including
<br /> perfc�rmance rights,to this P'roduction,except that PYR�daes not awn CLIENT-0wned rnaterial or third-
<br /> partY�wned material that has been included in the Production,and as to such CLlENT-owned and third-
<br /> �ar�y-owned m�terial, CL�:1�IT �sssurrtes fuli respansibility therefore. CL,IENT agrees that PYR{3 shall
<br /> retain owu�rship of, and aIl copyrigl�ts and ather rights tp, the F'raductia�a, except tha� PYR� shall not
<br /> acc�uire pr retain any ownership or otl�er rights in ar to CLIENT�wned material ar�d third-party-owned
<br /> rn�tetial and shalt not be responsible in any way for such materiai.If applicable,CLiENT cansents to the
<br /> use of CLIENT-awnect material and represent� that it has or wi11 obtain any permissian from appropriat�
<br /> third parties su�cient to authorize public exhibitian of any such material in conne�ti�n with this
