11.5 Submission of Insurance Poli ies. City reserves the right to require, at any time, oomplete and certifjed copies � any or all required insurance policies and endorsements. Consultant shall obtain and maintain for the duration of the Agreement and any and all.amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with perfonnanve of the Services by Consultant or Consultant's a�nts, rspresentatives, employees or sut�ontractors. The insurance carrier is required to maintain an A:M. Best rating of not less than "A-:VII". 12. Business License. Consultant will obtain and maintain a City of Redvirood City Business License for the term of the Agreement, as may be arr�ended from time-ta time. 13. Maintenance of Records. Consuitant will maintain oomplste and accurate records with resped to costs incurned under this Agreement. Ali records wiil be deariy identifiable. Consultarrt will aliow a representative of City during normai business hours to examine, audit, and make transcrfpts or�opies of revords ai�d eny otherdocuments created pursuant to this Agneement: Consultant will allo.w inspedion of all work� data, documents, proceedings, and activities related to the AgreemeM for a period of three (3)years from the date of flnal payment under this Agreement. 14. Ownershin of Documents. All work product produced by Consulta�#or its agents, employees, and subcontractors pursuant to tF�is Agr�eement is the property of City. In the event this �►greement is terminated, ail work product produced by Consultant or its a�nts, employees and subcontra�tors pursuaM to thisAgreement will be delivered to City pursuant to the terniina�on clause ofi this Agreement. Consui{ant will have the rigfit to make one{1)oopy of the work product for Consultant's recorcls. 15. Co�vri�hts. Consu�ant agrees that ali copyrights that arise from the Services will be vested in City and ConsultaM relinquishes ali Gaims to the oopyrights in favor of City. 16. Notices. The name of the persons who are authortzed to give written notices or to receive written notice on behalf of Cit�r and on behaif of Consuitant under this Agreement.
