Except as othe�wise stated, all notices to be provided or that may be provided under <br /> thls Agreement must be in writing and delivered by regular and cert�ied mail. Each <br /> party wili notify the other immediately of any chan�s of address that would require any <br /> notice or deliveryto be directed to another address. <br /> 17. Co�lict of Interest. If disclosure under the Political Reform Act and City's <br /> Confiict of interest Code is required of Consuitant or any of Consultartit's employees, <br /> agents, or subonntractors, Consultant or Consuitant's affected empioyees, agents, or <br /> subcontractors shall complete and file with the City Cierk those schedules specified by <br /> City and contained in the Statement of Economic interests Form 700. <br /> Consultant, for Consultant and � behalf of Consultant's agents, employees, <br /> subcontractors and consultants warrants that by execu�on of this Agreement, that they <br /> have no interest, present or oontemplated, in the projects affected by this Agreement. <br /> Consultant further warra�ts that neither Consultant, nor Consuftant's agents, <br /> empbyees, suboontractors and consultarrts h�ve any anc�liary r+eal property, business <br /> interests or income that will be affected by this Agreement or, aftematrvely, that <br /> Consultant wip file with Cifiy an affidavit disclosing this interest <br /> 18. General Comflliance with Laws. Consultant wiil keep fuliy informed of <br /> federal, state and local laws and ondinances and regulations which in any manner affect <br /> those empioyed by Consuifant,or in any way affect the performance of the Services by <br /> Consultant. Consuitant wili at all times obsen►e and comply with these laws, <br /> ordinances, and regulations and will be resperosibie for the compliance of Consultant's <br /> Senrioes with all applicabie laws,ordinances and regulations. <br /> 19, Discrimination and Harassment Prohibited. Consultant wilt comply with ail <br /> appiicable locai, state and fsderal laws and regulations prohibiting discrimination and <br /> harassment. <br /> 2fl. Termination. In the event of the Consultant"s failure to prosecute, deliver, <br /> or perfonn the Setvices, City may terminate this Agreement for nonper�ormance by <br /> notifjring Consultant in writing pursuant to the notice provisions of this Agreement. <br /> If City decides to abandon or postpone the work or seraiaes contemplated by this <br /> Agreement, City may terminate this Agreement upon written notice to Consuitant <br /> pursuant to the notice provisions of this Agreement. Termination wiil be effective <br /> immediately upon notfficatfon. <br /> Either Party upon#endering thirty {30) days written notice to the other party may <br /> terminate this Agreement. <br /> 1Nithin 1A days of termination Consuitant wiil assemble the wark product without <br /> charge and put it in ordter for proper filing and closing and deliver it to City. Consuftant <br /> wiil be paid far work perfom�ed up to the termination date; however, the total wiil not <br /> exceed the lump sum fee payable under this Agreement.
