6.7 Replacement/Reconstructiop <br /> If the Recycled Water Facilities located on SBSA's property and owned by SBSA <br /> (i.e., Facilities 1, 2 and 10)are damaged or destroyed, SBSA will restore or <br /> replace them as soon as reasonably practicable. If the facilities damaged or <br /> destroyed are owned by City, City will be obligated to restore or replace them as <br /> soon as reasonable practicable. However, if the restoration or replacement <br /> obligation of SBSA appears to be economically or practicably infeasible, SBSA <br /> shall so notify City and they shall meet and confer regarding a process for, and <br /> resolution of, the requirement for restoration or replacement and may, by <br /> amendment or supplement to this Agreement,provide for City's assumption of <br /> costs pertaining thereto and SBSA's corresponding construction obligation of <br /> restoration or replacement. If City conclusively determines that such restoration <br /> or replacement is economically or practicably infeasible, City may terminate this <br /> Agreement. If the repair or restoration pertains to City-owned facilities and City <br /> determines that the cost of restoration or replacement is economically or <br /> practicably infeasible, City may likewise terminate this Agreement. <br /> 6.8 Interruptions in Supply <br /> SBSA will operate the Treatment Plant and Recycled Water Facilities with the <br /> objective of providing a continuous supply of Recycled Water to City at the <br /> production rate defined in Attachment Ten and illustrated in Attachment Eight. <br /> The Parties recognize that both scheduled maintenance and unexpected <br /> emergencies may occasionally interrupt delivery of Recycled Water. City will be <br /> responsible for metering and recordkeeping of potable water introduced by City <br /> into its storage tank for use during both types of interruptions. <br /> -14- 1091374.7 <br />
