<br />delay or failure to provide any such services due to lack of <br />available facilities or personnel if such lack is the result of <br />disaster or epidemic. <br /> 2. Circumstances Beyond OHS' Control. If due to circumstances <br />not reasonably within the control of OHS, such as complete or <br />partial destruction of facilities, war, riot, civil insurrection, or <br />similar causes, the rendition of services provided hereunder is <br />delayed or rendered impractical, then OHS will make a good faith <br />effort to provide or arrange for the provision of services, but <br />neither OHS nor Participating Providers have any liability or <br />obligation for such delay or such failure to provide services. <br /> K. Addenda <br />All addenda mentioned in the body of this Group Agreement are hereby <br />incorporated by reference as if set forth in full herein. <br /> L. Assignment <br />This Agreement is not assignable by e.i ther Employer or OHS without <br />the other party's written consent. For purposes of this Agreement, <br />any effective changes in control of ownership of either party, <br />including sale of stock, or sale of all or substantially all assets <br />of either party, shall be contrued hereunder as an assignment and <br />thus require written consent. <br /> M. Employer's Affirmative Obligation to Notice OHS of Important <br />Events <br />Employer shall immediately inform OHS as to any event which gives <br />rise to OHS' right to terminate this Agreement or any individual <br />member's coverage, including events which would result in a Member's <br />loss of eligibility. <br /> N. Prohibition Against Decreases in Benefits <br />No decrease in benefits shall occur, except that OHS shall have the <br />right annually, at the renewal date of this Agreement, to increase <br />or decrease benefits, subject to OHS giving Employer 90 days' prior <br />written notice of such proposed change. <br />VII. MANDATORY ARBITRATION <br /> A. The arbitration provisions described below shall be in <br />accordance with the California Arbitration Act (found at California <br />Code of civil Procedure section 1280, et seq.). <br /> B.
