Page 11 is City's proportionate share based on area occupied in the building) of the cost of repairs and maintenance provided for in Part II, Section 6 of this Agreement. City agrees to reimburse County for 100% of the cost of any repairs or maintenance that are performed for the sole benefit of, that are performed on the interior improvements of the Ubrary or are performed on equipment or utilities servicing only the Library, whether the work is performed by the County or by contract. Such repairs and maintenance may be initiated by the County or by request of the City to the County in writing. Prior to commencing work to be done for the sole benefit of the Library estimated to cost over $500, County shall notify City in writing and secure its written approval, which shall not be unreasonably withheld. The City will pay any cost resulting from the required moving of any Library contents or equipment, as identified in Part II, Section 3 of this Agreement. 5. REIMBURSEMENT FOR COST OF REMODELING. City shall reimburse County for certain costs of remodeling of the Building as follows: (i) Building Shell Renovation. City shall reimburse County for renovation of the building shell in an amount not to exceed $216,000 ($66 per square foot). The parties agree that this is an estimate and if actual costs are less than $216,000 ($66 per square foot) City's obligation shall be reduced accordingly. Said building shell renovation cost reimbursement shall be paid in four annual installments according to the following schedule: Due date Amount due May 1, 1995 $76,000 January 1, 1996 $50,000 January 1, 1997 $45,000 (or remainder of final cost if less than $45,000) January 1, 1998 $45,000 (or remainder of final cost if less than $45,000) (ii) library Improvements. City shall pay for actual costs of Library improvements commonly referred to as tenant improvements and described in the plans and specifications dated December 6, 1994, and subsequent addenda, on file in the office of the County Manager. Upon execution of this Agreement these costs were estimated at $308,000 which includes a 7% contingency. Upon execution of this Agreement, City shall pay County the estimated $308,000, Upon completion of the building remodel County shall prepare a final accounting of the remodel costs and shall bill City for the actual costs of the Library improvements.
