<br /> rendered and costs incurred by City hereunder. C/CAG shall pay City <br /> within thirty (30) days of receipt of said invoices. <br /> C. The term "Services Rendered" or "Payroll Services" as used herein <br /> includes, without limitation, any and all services pertaining to legally <br /> mandated payroll withholding, contributions, and premiums for the <br /> California Public Employees Retirement System ("PERS"), workers' <br /> compensation, insurance, and disability insurance. <br /> 5. DIRECTION. EVALUATION AND CONTROL OF WORK. The <br />parties acknowledge that City's duties hereunder are limited to administering <br />Payroll Services, salary, City's Benefits and other benefits specified by C/CAG <br />for the Employment Positions. Therefore, C/CAG shall solely be responsible and <br />have the authority to direct, evaluate, discipline, terminate or control the work or <br />job performance of the persons appointed to the Employment Positions as <br />hereinabove provided. <br /> 6. INDEMNIFICATION AND LIABILITY. <br /> A. C/CAG's Liabilitv and Indemnification. C/CAG shall indemnify and <br />hold City harmless for any and all claims which may be brought by the person or <br />persons appointed to the Employment Position(s) arising out of his/her or their <br />employment by C/CAG.
