and that no additional tip will be requested or required of program <br /> PARTICIPANTS. The minimum charge per one-way trip is $10.00. <br /> <br /> 15. VENDOR may schedule and/or carry more than one PARTICIPANT <br /> per taxi trip providing there is safe and adequate seating in the <br /> vehicle for all the PARTICIPANTS and that all PARTICIPANTS have <br /> access to a seat belt. <br /> <br /> 16. VENDOR agrees to accurately record all trip request bookings and <br /> boardings made by registered PARTICIPANTS and to bill the CITY <br /> monthly based on the count of all qualified trip bookings and <br /> boardings. <br /> <br /> B. RESPONSIBILITIES OFTHE CITY: <br /> <br /> 1. CITY agrees to pay VENDOR within 30 days upon receipt of an <br /> approved invoice from VENDOR, which must include a <br /> comprehensive monthly report listing all registered PARTICIPANTS <br /> requesting a ride in the given month and the number of bookings and <br /> boardings each PARTICIPANT made in the given month. <br /> <br /> 2. CITY will not be responsible for paying any invoice the does not <br /> include the comprehensive monthly report listed in the above Item #1 <br /> as a receipt of the eligible rides taken. <br /> <br /> C. HOLD HARMLESS: <br /> <br /> Notwithstanding the existence of insurance coverage required of the <br /> VENDOR by this contract, VENDOR shall indemnify, keep and save <br /> harmless the CITY and its council, officers, officials, employees, agents <br /> and volunteers and AMBER and its officers, officials, agents and <br /> volunteers from any and all suits, claims or actions for any injury to <br /> persons or property (including to the VENDOR), or for any breach of this <br /> contract, or for any violations of federal, state or local laws or regulations <br /> that may occur, or that may be alleged to have occurred, arising from the <br /> performance of this contract by the VENDOR caused by the act or <br /> omission of VENDOR or its officers, employees, subcontractors or <br /> agents. VENDOR further agrees to defend any and all such actions, <br /> suits, or claims and pay all charges of attorneys and all other incurred <br /> costs and expenses. If any judgment is rendered against the CITY, <br /> AMBER or any of the other entities or individuals enumerated above in <br /> any such action, VENDOR shall at its sole expense, satisfy and <br /> discharging it.
