<br />liability for damages or claims for damage resulting from an alleged negligent act

<br />or omission on the part of District, its officers, employees or agents in the
<br />
<br />performance of District's duties and obligation hereunder. District agrees to, and
<br />
<br />shall, to the extent permissible by law, indemnify and defend City, its council,
<br />
<br />boards, commissions, officers, employees, and agents, and SBSA, its governing
<br />
<br />commission, officers, employees, and agents, from any suits or actions at law or
<br />
<br />in equity for any damages or loss, whatsoever, caused or alleged to have been
<br />
<br />caused, by any of the aforesaid acts or omissions.
<br />
<br />b. To the extent permissible by law, City shall and hereby agree to hold District, its
<br />
<br />governing board, board of supervisors, officers, employees, and agents, harmless
<br />
<br />form any liability for damages or claims for damages resulting from an alleged
<br />
<br />negligent act or omission on the part of City, its council, boards, governing
<br />
<br />commission, officers, employees or agents in the performance of City duties and
<br />
<br />obligations hereunder. City agrees to, and shall, to the extent permissible by law,
<br />
<br />indemnify and defend District, its governing board, board of supervisors, officers,
<br />
<br />employees, and agents, from any suits or actions at law or in equity for any
<br />
<br />damages or loss, whatsoever, caused or alleged to have been caused, by any of the
<br />
<br />aforesaid acts or omissions.

<br />This Agreement shall be interpreted to protect the public
<br />
<br />11. INTERPRETATION.
<br />
<br />against the creation and/or continuation of conditions inimical to the public health, safety
<br />
<br />and general welfare.
