and existing under Chapter 2 of the Community Redevelopment Law of the State of California. "Landlord" as used in this Lease, includes the Redevelopment Agency of the City of Redwood City and any assignee of or successor to its rights, powers and responsibilities. 1.2.2 Tenant. Tenant is a nonprofit public benefit corporation formed under Section 501 (c)(3) of the Internal Revenue Code and providing legal services or assistance to disadvantaged members of the community. Wherever the term "Tenant" is used herein, such term shall also include any permitted nominee or assignee as herein provided. ARTICLE 2 POSSESSION OF THE PREMISES 2.1 Acceptance of the Premises. Except as may be otherwise herein provided, Tenant shall by entering into and occupying the Premises be deemed to have accepted the Premises and to have acknowledged that the same is then in the condition called for by this Lease, and is fit for development and operation as the Clinic and for any other uses permitted under this Lease. 2.2 Quiet Enjoyment. Tenant, upon performing and complying with all covenants, agreements, warranties, terms and conditions of this Lease to be performed or complied with by it, shall lawfully and quietly hold, occupy and enjoy the Premises during the Term for the permitted purpose of operating the Clinic without hindrance or molestation by Landlord, or any person or persons claiming through Landlord. 2.3 Surrender of the Premises. 2.3.1 Upon the expiration or termination of the Term of this Lease, Tenant shall remove all of Tenant's trade fixtures, equipment, furniture, machinery, and other personal property, repair any damage to the Premises resulting therefrom and shall peaceably and quietly leave and surrender the Premises to Landlord, broom clean and in good order, condition and repair, reasonable wear and tear and obsolescence excepted. Tenant shall leave in place and in good order, condition and repair, all alterations, changes and additions to the Premises as provided in this Lease unless requested by Landlord in writing to remove such improvements. Landlord reserves the exclusive right and sole discretion to determine which of said improvements if any, must be removed by Tenant. Tenant hereby agrees to execute or cause to be executed and delivered any and all documents which landlord determines in its sole discretion may be necessary to evidence the transfer of title to said improvements to Landlord without cost or charge to Landlord. 2 ,_.._...-"'..
