<br />and existing under Chapter 2 of the Community Redevelopment Law of the State of <br />California. <br /> <br />"Landlord" as used in this Lease, includes the Redevelopment Agency of the <br />City of Redwood City and any assignee of or successor to its rights, powers and <br />responsibilities. <br /> <br />1.2.2 Tenant. Tenant is a nonprofit public benefit corporation formed under <br />Section 501 (c)(3) of the Internal Revenue Code and providing legal services or assistance <br />to disadvantaged members of the community. <br /> <br />Wherever the term "Tenant" is used herein, such term shall also include any <br />permitted nominee or assignee as herein provided. <br /> <br />ARTICLE 2 POSSESSION OF THE PREMISES <br /> <br />2.1 Acceptance of the Premises. Except as may be otherwise herein provided, <br />Tenant shall by entering into and occupying the Premises be deemed to have accepted the <br />Premises and to have acknowledged that the same is then in the condition called for by this <br />Lease, and is fit for development and operation as the Clinic and for any other uses <br />permitted under this Lease. <br /> <br />2.2 Quiet Enjoyment. Tenant, upon performing and complying with all covenants, <br />agreements, warranties, terms and conditions of this Lease to be performed or complied <br />with by it, shall lawfully and quietly hold, occupy and enjoy the Premises during the Term <br />for the permitted purpose of operating the Clinic without hindrance or molestation by <br />Landlord, or any person or persons claiming through Landlord. <br /> <br />2.3 <br /> <br />Surrender of the Premises. <br /> <br />2.3.1 Upon the expiration or termination of the Term of this Lease, Tenant <br />shall remove all of Tenant's trade fixtures, equipment, furniture, machinery, and other <br />personal property, repair any damage to the Premises resulting therefrom and shall <br />peaceably and quietly leave and surrender the Premises to Landlord, broom clean and in <br />good order, condition and repair, reasonable wear and tear and obsolescence excepted. <br />Tenant shall leave in place and in good order, condition and repair, all alterations, changes <br />and additions to the Premises as provided in this Lease unless requested by Landlord in <br />writing to remove such improvements. Landlord reserves the exclusive right and sole <br />discretion to determine which of said improvements if any, must be removed by Tenant. <br />Tenant hereby agrees to execute or cause to be executed and delivered any and all <br />documents which landlord determines in its sole discretion may be necessary to evidence <br />the transfer of title to said improvements to Landlord without cost or charge to Landlord. <br /> <br />2 <br /> <br />,_.._...-"'..
