<br />whether general or special, ordinary or extraordinary, foreseen or unforeseen, of every type <br />of character (including all interest and penalties thereon), which at any time during or in <br />respect of the term hereof may be assessed, levied, confirmed or imposed on, or in respect <br />of, or be measured by, or become a lien upon Landlord, the Premises, this Lease or any <br />part thereof, or any estate, or right or interest therein; or upon the gross or net receipts from <br />the Premises and/or Property, or the earnings from the use or occupancy thereof. To the <br />extent that any such change is levied upon the Property as a whole, Tenant shall pay its <br />pro rata share thereof. <br /> <br />4.5 Notice of Possessory Interest: Payment of Taxes and Assessments on Value <br />of Entire Lease Property. In accordance with California Revenue and Taxation Code <br />Section 107.6(a) and Health and Safety Code Section 33673, Landlord states that by <br />entering into this Lease, a possessory interest subject to property taxes will be created, and <br />that Tenant shall pay its pro-rata share of taxes upon the assessed value of the entire <br />property and not merely the assessed value of its leasehold interest. Therefore, property <br />taxes, if and when payable by Landlord or Landlord's successor in interest, will be an <br />element of Common Area Expenses. Tenant agrees to pay these amounts as Additional <br />Rent on a monthly basis as part of the Common Area Expenses as provided in Section 4.7. <br /> <br />4.6 Liability Insurance. Landlord, in its sole discretion, throughout the Term of <br />this Lease, shall have the right to obtain a commercial comprehensive general liability <br />insurance policy on the Property or alternatively, may self-insure the Property. Tenant shall <br />pay its pro-rata share of such expense as part of its monthly Common Area Expenses as <br />provided herein. <br /> <br />4.7 Common Area Expenses. Common Area Expenses refer to the expenses of <br />insurance, property taxes, security and maintenance associated with all on site common <br />areas of the Property. Tenant agrees to pay its proportionate share of Common Area <br />Expenses. Common Area Expenses will be estimated and paid in advance monthly on the <br />first day of each month. <br /> <br />4.8 Annual Adjustments. Each year, the Common Area Expenses will be <br />adjusted. Each year the new estimate will be made and a schedule and worksheet <br />calculation will be provided by the Landlord to the Tenant and the new monthly rate will <br />then be in effect. A total reconciliation will also be made within 60 days of the end of each <br />year which will compare the actual expenses for Common Area Expenses for the previous <br />year to the estimated previous year and any overage or shortage for the year will be added <br />or deducted as necessary. <br /> <br />4.9 Additional Rent. All sums paid by Landlord and all costs and expenses <br />incurred by Landlord in connection with the performance of any of Tenant's obligations, <br />together with interest thereon at the Interest Rate (as defined hereafter) from the respective <br /> <br />4 <br /> <br /> <br />---""T' .."" <br />
