14. Agency shall also obtain necessary HUD official signa- <br /> tures, establish settlement date, submit completed <br /> Project Set-Up form and original documents to Master <br /> Servicer. <br /> <br />15. Lender agrees to establish a separate 312 loan depository <br /> account with a local financial institution of Lender's <br /> choice for approved 312 loans. Funds shall be received <br /> via Automated Clearing House (ACH) system as required and <br /> disbursed without delay by Lender or its Agent upon <br /> receipt of proper disbursement authorizations from the <br /> Agency. If additional private or public funds will be <br /> used to supplement a Section 312 loan, a separate sub- <br /> escrow account will be maintained for those funds. <br /> <br /> 16. Agency shall select between options of multiple <br /> disbursementand multiple drawdowns of funds versus <br /> multiple disbursements and a single drawdown of funds. <br /> <br /> 17. Lender or its Agent agrees to arrange for all drawdowns <br /> and submission of payment vouchers and other documenta- <br /> tion as required by the HUD Cash Management contractor. <br /> <br /> 18. Lender or its Agent agrees to provide Agency with monthly <br /> reconciliation report including the monthly Bank <br /> Disbursement Report (received from HUD Cash Management <br /> Contractor) and all depository account activity for all <br /> automatic transfers and disbursements. <br /> <br /> 19. Lender agrees to maintain permanent project files for <br /> three years available to Agency containing all account <br /> identification and activity to show that at no time was <br /> there a commingling of Section 312 with other funds and <br /> that at no time draws on Section 312 funds exceeded draws <br /> on non-Section 312 funds. <br /> <br /> 20. At the time of loan closeout, Lender or its Agent agrees <br /> to prepare Notice of Superior Lienholder (when <br /> applicable) requesting notification to HUD in the event <br /> of borrower default, a Final Transmittal Letter to the <br /> Master Servicer and a Final Disposition of Funds State- <br /> ment. These documents will be forwarded to Agency to <br /> prepare loan for transmittal to the Master Servicer. <br /> <br /> 21. Agency agrees to pay Lender or its Agent fees for 312 <br /> loan processing according to the fees attached in <br /> Exhibit B. <br /> <br /> <br />
