If for any reason any of such alterations are not <br />substantially compleced within thirty (30) days from the <br />originally specified Commencement Date, the sublease shall <br />automatically terminate and Sublessor shall not be subject to <br />liability with respect thereto. <br /> <br />3. <br /> <br />BASE RENT. <br /> <br />A. Sublessee agrees to pay Sublessor as rental for <br />Premises the sum of Six Thousand One Hundred and Two Dollars <br />(~6, 102.00) in advance on or before the first day of the first <br />calendar month of the term hereof and a like sum on or before the <br />first day of each and every successive month thereafter during <br />the term hereof (hereinafter referred to as the "Base RentU). In <br />the event that the Commencement Date of the term of this sublease <br />shall be a day other than the first day of the calendar month, <br />the Base Rent for the first and last month during the term hereof <br />shall be prorated on the basis of a thirty (30) day month. <br /> <br />B. Sublessee additionally agrees to pay co <br />Sublessor, concurrent with the Base Rent unless otherwise <br />provided herein. all other B'ums of money that may become due and <br />payable hereunder, which sums shall be deemed additional rental. <br />All rent payable hereunder shall be paid by Sublessee to <br />Sublessor by the due date, without deduction or offset, in lawful <br />money of the united States, at the office of the Sublessor as <br />specified herein, or at such other location as may be specified <br />by Sublessor in writing. Rent is due and payable on the first <br />day of each month and is considered late when received after the <br />fifth of the month. <br /> <br />C. Late Charge - Sublessee acknowledges that late <br />payment by Sublessee to Sublessor of renc will cause Sublessor to <br />incur costs not contemplated by this sublease, the exact amounc <br />of such costs being extremely difficult and impracticable to fix. <br />Such costs include, withouc limitation, processing and accounting <br />charges, and late charges may be imposed on Sublessor by the <br />terms of any encumbrance and note secured by encumbrance covering <br />the Premises or on the Lease. Therefore, if any installment of <br />rent due from Sublessee is not received by Sublessor when due, <br />Sublessee shall pay to Sublessor an additional sum of ten percent <br />(10%) of the overdue rent as a late charge. The parties agree <br />that this late charge represents a fair and reasonable estimate <br />of the costs that Sublessor will incur by reason of late payment <br />by Sublessee.
