1.1 Project Budget. The total budget of the Project is $158,000.00 (the "Budget"), as more particularly described in Exhibit B attached hereto. 1.2 Funding Commitment. Pursuant to Public Utilities Code Sections 131265 and 131266, all funding obligations of the Authority under this Agreement are subject to the availability of funds in the annual budget of the Authority. Subject to the foregoing, the Authority shall appropriate to the City up to $158,000 for expenditUre on the Project. The Authority shall make this amount available to the City as provided in Section 2.7 below. The City will contribute, or provide for the contribution of, any amount in excess of $158,000 needed to complete the Project. The Authority's funding commitment under this Agreement shall in no way establish a right in the City to receive additional funding from the Authority for construction of the proposed widening of Route 84 or for any related Project costs. 1.3 Termination. (a) City may at any time terminate the Project by giving written notice to Authority of its election to do so, provided that upon such termination, City shall promptly reimburse Authority for all monies advanced and costS incurred by Authority in connection with the Project and indemnify Authority from and against any and all losses, claims, liabilities, costs and expenses arising from said termination. Upon such termination, City shall so reimburse Authority within ninety (90) days of Authority's submission to City of a detailed statement of such advances and costs. SECTION TWO: PROJECT OVERSIGHT AND ADMINISTRA nON 2.1 CitY OversÌ1mt: Work Plan. City shall be the lead agency responsible for the completion of the Project.
