<br />DES:djg-c <br /><::S:djg~c <br />UES:djg-c <br />DES:djg-c <br />DES:djg-c <br /> <br />11/23/82 <br />02/IS/83R <br />07/29/83R <br />11/20/83R <br />12/08/83R <br /> <br />pledgee. <br /> <br />Lessor will not terminate this lease on account of any <br /> <br />such default provided such leasehold mortgagee or pledgee commences <br /> <br />to cure such default within the period specified in, and in <br /> <br />accordance with the terms and conditions of, paragraph 22, and <br /> <br />thereafter cures such default with due diligence. <br /> <br />(c) <br /> <br />Limitation. <br /> <br />Except as provided in this paragraph 29, <br /> <br />under no circumstance shall any interest of Lessor in the Leased <br /> <br />Premises be subordinated to any encumbrance, voluntary or <br /> <br />involuntary, assumed, acquired or suffered by Lessee or any of its <br /> <br />transferees or assignees. <br /> <br />(d) <br /> <br />Assignment to Subsidiary. <br /> <br />Notwithstanding anything <br /> <br />herein contained, Lessee may assign this lease agreement to a <br /> <br />wholly-owned domestic subsidiary corporation; provided, however, <br /> <br />that in the event of such assignment, Lessee shall give written <br /> <br />notice thereof to Lessor prior to the effective date of such <br /> <br />assignment. <br /> <br />Such assignment shall not relieve Lessee of its <br /> <br />obligations hereunder, and Lessee shall agree in writing to <br /> <br />guarantee the full, prompt and faithful payment, performance and <br /> <br />discharge by said assignee of each of the covenants, conditions and <br /> <br />agreements of this lease agreement, or any other instrument given <br /> <br />or executed in pursuance thereof. <br /> <br />(e) <br /> <br />Consent No Waiver. <br /> <br />Should Lessor consent to any <br /> <br />encumbrance, such consent shall not constitute a waiver of any of <br /> <br />the terms, covenants or conditions of this lease agreement. <br /> <br />Such <br /> <br />38 <br /> <br />_..~_.._. .. ..--..,......-.......---..--..... . <br />
