<br />8. <br /> <br />OWNERSHIP OF DATA. <br /> <br />All original documents, papers, data, materials and other work products prepared by <br />Consultant in the performance of the Services encompassed in this Agreement shall be the <br />property of the City and may be used without restriction or limitation upon its use. Computer <br />program software used by Consultant is its property. Detailed output of the software will be <br />provided to City upon request. The aforementioned documents and materials shall be <br />delivered to the City at the times specified herein, upon request, upon completion ofthe work <br />to be performed under this Agreement, or upon termination of the Consultant's Services <br />under this Agreement, whichever occurs first. <br /> <br />9. <br /> <br />CONFIDENTIALITY OF MATERIAL AND RECORDS. <br /> <br />All data, documents, discussions or other information developed or received by or for City in <br />performance of this Agreement are confidential and are not to be disclosed to any person <br />except as required by law. <br /> <br />10. <br /> <br />COMPLIANCE WITH LAWS. <br /> <br />Consultant shall comply with all applicable laws, ordinances, codes and regulations of the <br />federal, state and local governments. <br /> <br />11. <br /> <br />NONDISCRIMINATION. <br /> <br />Consultant shall not discriminate, in any way, against any person on the basis of race, color, <br />national origin, sex, marital status, sexual orientation, age, creed, religion or condition of <br />physical disability in connection with or related to the performance of this Agreement. <br />Determination by the City of such discrimination by Consultant may be basis for termination <br />of this Agreement. <br /> <br />12. <br /> <br />CONSULTANT TO HOLD CITY HARMLESS. <br /> <br />To the extent permitted by law, Consultant agrees to indemnify protect, defend, and hold <br />harmless City, its City Council, officers, employees, volunteers and agents from and against <br />any claim, injury, liability, loss, cost, and/or expense or damage, including all costs and <br />reasonable attorney's fees in providing a defense to any claim, arising from Consultant's <br />negligent, reckless or wrongful acts, errors, or omissions with respect to or in any way <br />connected with the performance of the Services by Consultant its agents, subcontractors <br />and/or assigns under to this Agreement. <br /> <br />13. <br /> <br />INSURANCE. <br /> <br />During the term ofthis Agreement, Consultant shall purchase, and maintain in full force and <br />effect, at least the following insurance policies: <br /> <br />A.
