<br />14. <br /> <br />15. <br /> <br />B. <br /> <br />Comprehensive automobile injury insurance (bodily injury and property damage) <br />with respect to employees and vehicles assigned to the performance of work pursuant <br />to this Agreement; <br />Workers' compensation, employer's liability, if required by law; and, <br />Professional liability insurance. <br /> <br />C. <br />D. <br /> <br />Consultant shall, during the term ofthis Agreement, and at no expense to City, maintain the <br />insurance policies, with limits of coverage, endorsements and with the required certificates as <br />set forth in the attached Exhibit C entitled "Insurance Requirements." The scope and form of <br />each respective insurance coverage shall be subject to approval of the City Attorney's Office <br />so that the protection afforded to City by Consultant with respect to this Agreement will be <br />accomplished. City must approve all insurance coverages and carriers prior to Consultant's <br />commencement of work under this Agreement. <br /> <br />AGREEMENT FOR ADMINISTRATIVE SERVICES. <br /> <br />To the extent this Agreement is for administrative services, the City Council entered into <br />such Agreement upon recommendation ofthe City Manager pursuant to Section 11 Ò8 ofthe <br />City Charter. The policy decision with respect to the services was made by the City Council <br />and not by the City Manager. <br /> <br />AMENDMENTS. <br /> <br />No alterations or changes to the terms of this Agreement shall be valid unless made in <br />writing and signed by both Parties. <br /> <br />16. <br /> <br />THE CAPTIONS. <br /> <br />The captions of the various sections, paragraphs and subparagraphs ofthis Agreement are for <br />convenience only and shall not be considered nor referred to for resolving questions of <br />interpretation. <br /> <br />17. <br /> <br />NO THIRD PARTY BENEFICIARY. <br /> <br />This Agreement shall not be construed or deemed to be an agreement for the benefit of any <br />third party or parties, and no third party or parties shall have any claim or right of action <br />hereunder for any cause whatsoever. <br /> <br />18. <br /> <br />SEVERABILITY CLAUSE. <br /> <br />In case anyone or more of the provisions contained herein shall, for any reason, be held <br />invalid, illegal or unenforceable in any respect, it shall not affect the validity of the other <br />provisions which shall remain in full force and effect. <br /> <br />Consultant Services Agmt./City of Redwood City <br />Rev. 1/28/02; Typed: 8/28/02 <br /> <br />Page 4 of 7 <br /> <br />'-r"'-~" <br />
