19. NO PLEDGING OF CITY'S CREDIT. Under no circumstances shall Consultant have the authority or power to pledge the credit of City or incur any obligation in the name of City without the advance written consent of the City. Consultant shall save and hold harmless the City, its City Council, its officers, employees and boards and commissions for expenses arising out of any pledges of City's credit by Consultant under this Agreement. 20. TERMINATION OF AGREEMENT. This Agreement may be terminated prior to the Termination Date by either Party upon thirty (30) days written notice delivered personally or by registered mail (or equivalent mail or delivery service which provides for an office signature of receipt). In the event of such termination, Consultant shall forthwith discontinue further services. Consultant shall be paid for services rendered up to the time of termination. City shall have the right, at its own expense, to cause the audit of Consultant's project books and records for the purpose of verifying Consultant's compensation claims. City shall be given the material referred to in Paragraph 8, above, entitled "Ownership of Data." 21. NOTICES. All notices to the Parties shall, unless otherwise requested in writing, be sent to City addressed as follows: City of Santa Clara Attention: Human Resources Department 1500 Warburton Avenue Santa Clara, CA 95050 Or, by facsimile at (408) 985-0667. And, to Consultant addressed as follows: City of Redwood City Attention: Human Resources Department Address: 1017 Middlefield Road Redwood City, CA 94063 Or by facsimile at (650) 354-3539. If notice is sent via facsimile, a signed, hard copy of the material shall also be mailed. The workday the facsimile was sent shall control the date notice was deemed given if there is a facsimile machine generated document on the date of transmission. A facsimile transmitted after 1 :00 p.m. on a Friday shall be deemed to have been transmitted on the following Monday.
