<br />22. <br /> <br />WAIVER. <br /> <br />Consultant agrees that waiver by City of anyone or more of the conditions of performance <br />under this Agreement shall not be construed as waiver of any other condition ofperformance <br />under this Agreement or a continuing waiver of a particular condition(s). <br /> <br />23. <br /> <br />FINANCIAL DISCLOSURE REQUIREMENTS/CONFLICT OF INTEREST. <br /> <br />Pursuant to City Manager Directive 66, it has been detemiined the services to be rendered <br />under the provisions of this Agreement are excluded from thè requirement of filing a <br />Financial Disclosure Statement by California Administrative Code section 18,700(2)(A) and <br />(B). Consultant certifies that, to the best of its knowledge, no City employee or office of any <br />public agency interest in this Agreement has any pecuniary interest in the business of <br />Consultant and that no person associated with Consultant has any interest that would conflict <br />in any manner or degree with the performance ofthis Agreement. Consultant represents that <br />it presently has no interest and shall not acquire any interest, direct or indirect, which could <br />conflict in any manner or degree with the faithful performance ofthis Agreement. Consultant <br />is familiar with the provisions of California Government Code section 87100 and following, <br />and it certifies that it does not know of any facts which constitute a violation of said <br />provisions. Consultant will advise City if a conflict arises. <br /> <br />24. <br /> <br />INTEGRATED AGREEMENT. <br /> <br />This Agreement embodies the agreement between City and Consultant and all of its terms <br />and conditions. No verbal agreements or conversation with any officer, agent or employee of <br />City prior to execution of this Agreement shall affect or modify any of the terms or <br />obligations contained in any documents comprising this Agreement. Any such verbal <br />agreement shall be considered as unofficial information and in no way binding upon City. <br /> <br />25. <br /> <br />DISPUTE RESOLUTION. <br /> <br />A. <br /> <br />Any controversies between Consultant and City regarding the construction or <br />application ofthis Agreement, and claims arising out ofthis Agreement or its breach, <br />shall be submitted to mediation within thirty (30) days of the written request of one <br />Party after the service of that request on the other Party. <br /> <br />B. <br /> <br />The Parties may agree on one mediator. If they cannot agree on one mediator, the <br />Party demanding mediation shall request the Superior Court of Santa Clara County to <br />appoint a mediator. The mediation meeting shall not exceed one day (eight (8) <br />hours). The Parties may agree to extend the time allowed for mediation under this <br />Agreement. <br /> <br />c. <br /> <br />The costs of mediation shall be borne by the Parties equally. <br /> <br />Mediation under this section is a condition precedent to filing an action in any court. <br />In the event mediation or litigation arises out of any dispute related to this <br />Consultant Services Agmt./City of Redwood City Page 6 00 <br />Rev. 1/28/02; Typed: 8/28/02 <br /> <br />D. <br /> <br />-r"""~" <br />
