<br />9. <br /> <br />HOLD HARMLESS <br /> <br />Each party hereto ("indemnitor") hereby agrees to defend, indemnity, and save harmless <br />each other Party and its respective governing board, council, officers, boards <br />commissions, agents, and employees (collectively, "Indemnitees") against and from any <br />and all claims, suits, actions of every name, kind and description, which may be brought <br />against indemnitees, or any of them, by reason of any injury to, or death of, any person <br />(including corporations, partnerships and associations) or damage suffered or <br />sustained by any such person arising from, or alleged to have arisen from, any act or <br />omission to act, negligent or otherwise, of indemnitors, its officers, agents or employees <br />under this Agreement. <br /> <br />10. <br /> <br />ACTS AND OMISSIONS OF EXECUTIVE DIRECTOR <br /> <br />The acts and omissions of the Executive Director or any other employees, agents or <br />volunteers acting on behalf of the RC 2020 program shall not in any way be construed as <br />the acts and omissions of the City but shall be deemed as the acts and omissions of the <br />Parties acting jointly. <br /> <br />11. <br /> <br />COUNTERPARTS <br /> <br />This Agreement may be executed in one or more counterparts, and each such counterpart <br />shall be deemed an original for all purposes. <br /> <br />12. <br /> <br />ENTIRE AGREEMENT <br /> <br />This Agreement, together with any other written document referred to or contemplated by <br />it embody the entire Agreement and understanding between the Parties relating to the <br />subject matter of it.
