<br />DAL:mgl ú2n 8/91 <br /> <br />(uO4/4:): <br /> <br />of said compensation which is the value of the loss of use of <br /> <br />Lessee's <br /> <br />structure <br /> <br />and <br /> <br />improvements <br /> <br />for <br /> <br />the <br /> <br />remainder <br /> <br />of <br /> <br />the <br /> <br />lease <br /> <br />term. <br /> <br />The <br /> <br />amount <br /> <br />to <br /> <br />which <br /> <br />Lessee <br /> <br />shall <br /> <br />be <br /> <br />entitled <br /> <br />hereunder <br /> <br />shall <br /> <br />not <br /> <br />exceed <br /> <br />the <br /> <br />actual <br /> <br />cost <br /> <br />of <br /> <br />improvements <br /> <br />constructed by lessee, reduced in proportion to the relationship <br /> <br />that the expired term bears to the original lease term; provided, <br /> <br />however, that with respect to allocation of compensation between <br /> <br />Lessor and Lessee in the event all or any portion of the Leased <br /> <br />Premises are condemned, it is expressly the intent of the parties <br /> <br />hereto <br /> <br />that <br /> <br />said allocation <br /> <br />shall be made <br /> <br />in <br /> <br />accordance ~'li th <br /> <br />applicable law in effect as of the date of said condemnation. <br /> <br />The provisions with respect to proceeds <br /> <br />from condemnation <br /> <br />shall in no way restrict Lessee's right to collect any relocation <br /> <br />payments to which it would otherwise be entitled as a result of <br /> <br />such condemnation. <br /> <br />19. <br /> <br />ASSIGNMENT AND SUBLEASE. <br /> <br />It is understood and agree by <br /> <br />the parties hereto that Lessee will sublease the Leased Premises <br /> <br />in furtherance of the purpose set forth in Paragraph 4. <br /> <br />Lessee <br /> <br />shall give a copy of this lease to every sublessee. <br /> <br />Lessee shall <br /> <br />have the right to assign its interest in this <br /> <br />lease; <br /> <br />provided <br /> <br />that <br /> <br />such assignment shall not result in a use of the Leased <br /> <br />Premises other than as set forth in Paragraph 4 or otherwise as a <br /> <br />IIPublic Purposell within the meaning of Article 16, Section 6 of <br /> <br />the <br /> <br />California <br /> <br />Constitution, <br /> <br />and <br /> <br />further <br /> <br />provided <br /> <br />that <br /> <br />such <br /> <br />assignment shall have first been consented to by the City Council <br /> <br />of Lessor, <br /> <br />evidenced by resolution of the City Council, <br /> <br />which <br /> <br />consent shall not unreasonably be withheld. <br /> <br />12 <br /> <br /> <br />TT <br />
