<br />DAL:mgl02/18/9l <br /> <br />(004/45, <br /> <br />If any <br /> <br />proposed assignment would result in a use of the <br /> <br />Leased Premises other than as set forth in Paragraph 4, or other <br /> <br />than f or a <br /> <br />"Public Purpose" within the meaning of Article 16, <br /> <br />Section 6 of the California Constitution, <br /> <br />such assignment must <br /> <br />also be consented to by the City Council of Lessor, by resolution <br /> <br />of <br /> <br />the <br /> <br />City <br /> <br />Council, <br /> <br />which consent <br /> <br />shall <br /> <br />not be <br /> <br />unreasonably <br /> <br />withheld. <br /> <br />However, prior to any such consent by Lessor, Lessor <br /> <br />and the proposed assignee must <br /> <br />agree upon <br /> <br />an <br /> <br />adjusted rental <br /> <br />amount <br /> <br />l.n <br /> <br />accordance <br /> <br />with <br /> <br />Paragraph <br /> <br />20, <br /> <br />and <br /> <br />said <br /> <br />proposed <br /> <br />assignee must present evidence of credit worthiness satisfactory <br /> <br />to Lessor's Director of Finance. <br /> <br />Lessee covenants and agrees that neither this lease, nor any <br /> <br />interest <br /> <br />therein, <br /> <br />shall <br /> <br />be <br /> <br />assignable <br /> <br />or <br /> <br />transferable <br /> <br />in <br /> <br />proceedings <br /> <br />in <br /> <br />attachment, <br /> <br />garnishment <br /> <br />or <br /> <br />execution <br /> <br />against <br /> <br />Lessee or in voluntary or involuntary proceedings in bankruptcy <br /> <br />or insolvency or receivership taken by or against Lessee or by <br /> <br />any process of law, and that possession of the whole or any part <br /> <br />of the Leased Premises shall not be divested from Lessee in such <br /> <br />proceedings or by any process of law, without written consent of <br /> <br />Lessor; <br /> <br />and <br /> <br />any <br /> <br />divesting <br /> <br />of <br /> <br />possession <br /> <br />by <br /> <br />lessee <br /> <br />or <br /> <br />any <br /> <br />assignment, <br /> <br />sale or transfer of this agreement, or any interest <br /> <br />therein, either voluntary or by judgment, execution, bankruptcy, <br /> <br />receivership, insolvency proceedings, or by process or operation <br /> <br />of law, shall at the option of Lessor be null and void and of no <br /> <br />force <br /> <br />or <br /> <br />effect <br /> <br />and <br /> <br />shall <br /> <br />cause <br /> <br />this <br /> <br />lease <br /> <br />to <br /> <br />terminate <br /> <br />immediately <br /> <br />at <br /> <br />the <br /> <br />option <br /> <br />of <br /> <br />Lessor <br /> <br />without <br /> <br />limitation <br /> <br />upon <br /> <br />Lessor's rights under Paragraph 21 of this agreement. <br /> <br />13 <br /> <br />.TT <br />
