<br />DAL:mgl02/18/9l <br /> <br />(004/45) <br /> <br />Any attempted encumbrance, evidenced by written document, or <br /> <br />occupancy of the Leased Premises by a prospective transferee, <br /> <br />sub-Lessee or assignee before approval of the transfer, sublease <br /> <br />or assignment by lessor shall constitute a breach of this lease. <br /> <br />Notwithstanding <br /> <br />any <br /> <br />other <br /> <br />provision <br /> <br />hereof, <br /> <br />under <br /> <br />no <br /> <br />circumstances shall any interest of Lessor in the Leased Premises <br /> <br />be subordinated to any encumbrance, voluntary or involuntary <br /> <br />assumed, acquired or suffered by Lessee or any of is transferees <br /> <br />or assignees. <br /> <br />Should Lessor consent to any encUIT~rance, such consent shall <br /> <br />not <br /> <br />constitute <br /> <br />a <br /> <br />waiver <br /> <br />of <br /> <br />any <br /> <br />of <br /> <br />the <br /> <br />terms, <br /> <br />covenants <br /> <br />or <br /> <br />condi tions of this lease. <br /> <br />Such terms, <br /> <br />covenants or conditions <br /> <br />shall apply to each and every encumbrance hereunder and shall be <br /> <br />severally binding upon each and every encumbrancer, <br /> <br />assignee, <br /> <br />transferee, <br /> <br />subtenant or other successor in interest of Lessee. <br /> <br />Any <br /> <br />document <br /> <br />to <br /> <br />mortgage, <br /> <br />pledge, <br /> <br />hypothecate, <br /> <br />encumber, <br /> <br />transfer, sublet or assign any interest in this lease, the Leased <br /> <br />Premises, or any part thereof, shall incorporate directly or by <br /> <br />reference all the provisions of this lease. <br /> <br />It is understood and <br /> <br />agreed <br /> <br />by <br /> <br />Lessor <br /> <br />that <br /> <br />Lessee <br /> <br />will <br /> <br />be <br /> <br />obtaining <br /> <br />construction <br /> <br />financing which indebtedness will be evidenced by encumbrance on <br /> <br />the constructed structure by an encumbrance on the constructed <br /> <br />structure. <br /> <br />However, <br /> <br />such indebtednes s <br /> <br />shall <br /> <br />in no way <br /> <br />affect <br /> <br />Lessor's title to the Leased Premises or otherwise constitute an <br /> <br />encumbrance thereto. <br /> <br />20. <br /> <br />RENTAL ADJUSTMENT. <br /> <br />If <br /> <br />any <br /> <br />proposed <br /> <br />assignment <br /> <br />of <br /> <br />Lessee's <br /> <br />interest in this lease would result in a use of the <br /> <br />14 <br /> <br />Tf <br />
