<br />DAL:mgl02/18/91 <br /> <br />(004/45) <br /> <br />Leased Premises other than as set forth in Paragraph 4, or other <br /> <br />than for a "Public purpose" wi thin the meaning of Article 16, <br /> <br />Section 6 of the California Constitution, the City shall adjust <br /> <br />the monthly rental from the nominal amount set forth in Paragraph <br /> <br />3 to a monthly rental equal to the monthly fair market rental <br /> <br />value of the Leased Premises, excluding Lessee's improvements as <br /> <br />described in Paragraph 6, as shall be agree upon by Lessor and <br /> <br />Lessee's proposed assignee. <br /> <br />In the event that Lessor and Lessee's proposed assignee are <br /> <br />unable to agree to the monthly fair market rental value of the <br /> <br />Leased Premises, <br /> <br />Lessor <br /> <br />and Lessee, <br /> <br />or <br /> <br />its <br /> <br />proposed assignee <br /> <br />shall each appoint an independent qualified real estate appraiser <br /> <br />who <br /> <br />shall, <br /> <br />in <br /> <br />turn, <br /> <br />appoint <br /> <br />a <br /> <br />third <br /> <br />such <br /> <br />appraiser <br /> <br />for <br /> <br />the <br /> <br />purpose <br /> <br />of <br /> <br />determining <br /> <br />such <br /> <br />rental. <br /> <br />Said <br /> <br />appraisers <br /> <br />shall <br /> <br />independently <br /> <br />apprised <br /> <br />the <br /> <br />Leased <br /> <br />Premises, <br /> <br />and <br /> <br />shall <br /> <br />render <br /> <br />their written opinion of the aforesaid monthly fair market rental <br /> <br />value. <br /> <br />The median appraised fair market rental value of said <br /> <br />three (3) appraisal shall be binding upon the parties; provided, <br /> <br />however, that in the even said median apprised value, or is more <br /> <br />than five percent <br /> <br />(5%) greater than the lowest appraised value, <br /> <br />or ~s more than five percent (5%) lower than the highest <br />appraised value, the monthly fair market rental value for <br />purposes hereof shall be the average of all three ( 3) said <br /> <br />monthly apprised value and provided, further, that if any two (2) <br /> <br />or all three <br /> <br />(3 ) <br /> <br />appraised values are the same, <br /> <br />said identical <br /> <br />appraisal shall be binding upon the parties. <br /> <br />15 <br /> <br />.TT <br />
