<br />other parties) are 1.5 times tile listed ..~t~5. Travel time is charged at full rates from 8:00 a-m. to
<br />6:00 p.m. and at half rates during other periods.

<br />Direct expenses are billed at actual cost plus 10%- You have the right to terminate our services
<br />at any time, subject only to previous commitments we have made to others on your behalf. We
<br />reserve the right to suspend work if payments are in arrears.

<br />To the fullest extent permitted by law, City of Redwood City shall fully protect, ind~rnnify, save
<br />harmless, and defend Sìmpson Gumpertz & Heger Inc. and its subsidiaries, parent
<br />organizations, affiliates, associates, directors, officers, agents, and employees from and ~!Jainst
<br />any and alll055es, costs (including any reasonable attorney's fees, expert fees, court costs, and
<br />expenses), damages, claims injuries, liabilities, demands, or causes of action arising out of,
<br />incídp.nt to, or in any w~y connected with any act or omission, neyligent or otherwise, of City of
<br />Redwood City or its officers, agents, employees, subcontractors, subconsultants, or any other
<br />person or entity answering to City of Redwood City in any way arising out of. incident to, or in
<br />any way connected with this Agreement and/or the project for which Simpson Gumpertz &
<br />Heger Inc, IS services are rendered. This obligation includes any alleged liabilities due to the
<br />concurrent alleged negligence of Simpson Gurnpertz & Heger Inc., except solely such losses,
<br />costs, damages, claims, injuries, liabilities, demands, or causes of action caused by the sole
<br />negligence or willful misconduct of Simpson Gumpertz p.. HE!ger Inc. Simpson Gumpertz &
<br />Heger Inc. shall be entitled to recover its attorneys fees, costs, and legal expenses incurred in
<br />connection with any action to enforce this indemnity obligation.
<br />
<br />This proposal is valid for 60 days. Our proposed agreement consists of this proposal and the
<br />enclosed Standard Provisions. If accept~hle, please $Îgn and return one copy of this letter.

<br />In accordance with California law, we cannot begin work on this project until we have a siqned
<br />agr~emènt.
