Subject to Section 2.09 of this Agreement, 9 Contractor and Agency have designated the San Carlos Transfer Station located at 225 10 Shoreway Road and the San Carlos "Recyclery" located 333 Shoreway Road and any 11 other building and improvement located at these addresses in the City of San Carlos 12 (including the administration and vehicle repair and maintenance building) as its 13 Facilities to be utilized under this Agreement. 14 Fiscal Year 15 "Fiscal Year" means the period commencing January 1 and concluding December 31 of 16 year for Contractor. 17 Full Regulatory Compliance 18 "Full Regulatory Compliance II means compliance with all applicable permits for a 19 Facility such that the Contractor will at all times maintain the ability to fully comply 20 with its obligations under this Agreement. 21 Franchise Fee 22 "Franchise Fee" means the fee paid by Contractor to Agency for the right to hold the 23 franchise granted by this Agreement. 24 Gross Revenues 25 "Gross Revenues" means any and all revenue or compensation in any form to 26 Contractor or other Affiliates of Contractor, for the Collection, transportation and 27 processing of Solid Waste pursuant to this Agreement, determined in accordance with 28 Generally Accepted Accounting Principles, including, but not limited to, service 29 recipient fees for Collection of Solid Waste, without subtracting the other cost of doing 30 business. 31 Hazardous Substance 32 "Hazardous Substance II shall mean any of the following: (a) any substances defined, 33 regulated or listed (directly or by reference) as "Hazardous Substances", "hazardous 34 materials ", "Hazardous Wastes ", "toxic waste ", "pollutant" or "toxic substances II or 35 similarly identified as hazardous to human health or the environment, in or pursuant 36 to (i) the Comprehensive Environmental Response, Compensation and Liability Act of
