<br />(c) If not otherwise earlier terminated, this Agreement shall tenninate <br />fifteen years after the Effective Date. <br /> <br />4. <br /> <br />Land Use; Density; and Intensity. <br /> <br />(a) During the term of this Agreement, the Development Regulations <br />pertaining to the development of the Project on the Property are the Existing Development <br />Regulations and Pacific Shores shall have a vested contractual right to develop the Project on <br />the Property in accordance with the Existing Development Regulations, the Existing <br />Approvals, and this Agreement. During the tern of this Agreement, once annexation is <br />accomplished, City may control development of the Property in accordance with this <br />Agreement. If there is any inconsistency between this Agreement and either the Existing <br />Development Regulations or the Existing Approvals, the provisions of this Agreement shall <br />prevail. <br /> <br />(b) The density and intensity of land uses. the square footage of OBF A. and <br />the height, size, and location of buildings permitted in the Project are set forth in this <br />Agreement and the Existing Approvals. <br /> <br />(c) Pacific Shores shall have the right to develop a maximum of 1,500,000 <br />square feet of leasable square feet (up to 1,550,000 square feet of GBF A) for office, research <br />and development and industrial purposes on the Building Parcels, plus up to 174,000 square <br />feet of GBF A for special-purpose accessory structures, including retail, fitness, conference, <br />recreational, maintenance, educational and/or child care facilities on the Accessory Building <br />Parcels and the Common Parcels. <br /> <br />(d) Pacific Shores shall have the right to erect buildings to a maximum <br />height of 130 feet above mean sea level (National Geodetic Vertical Datum [NGVD], 1929) <br />(equals elevation 100 per Redwood City Engineering Standards), subject to such further <br />restrictions as shown on Exhibit C. <br /> <br />(e) Notwithstanding any provision of the Existing Development Regulations <br />to the contrary. the Existing Approvals will not expire during the term of this Agreement and, <br />except as provided in this Agreement, City shall not modify or revoke the Existing Approvals <br />without the prior written consent of Pacific Shores. <br /> <br />(f) Within and among the Building Parcels, and notwithstanding anything <br />else in Exhibits E or F to the contrary and subject to Table 4-1, Pacific Shores may modify <br />the square footage of GBF A. and the height and location of buildings in the Project, and <br />transfer the same, without further Approvals but subject to review by the Planning <br />Commission in accordance with the review of Final Development Plans. If Pacific Shores <br />merges adjacent Building Parcels, the amount of GBFA permitted on the merged parcel shall <br />equal that permitted on the parcels being combined as provided in Table 4-1.
