<br />District, although not contemplated by this Agreement, they shall remain employees of <br /> <br />City and/or Authority and City and/or Authority shall be responsible for furnishing all <br /> <br />workers compensation benefits to their respective employees. <br /> <br />6. Benefits. City and Authority shall not be responsible and/or liable for <br /> <br />Workmens' Compensation Insurance and retirement (PERS) for Coordinator or Designee <br /> <br />and/or other benefit. <br /> <br />7, Overtime Reimbursement. In the event the District is required to pay <br /> <br />Coordinator or Designee for overtime as a direct result of Coordinator's performance of <br /> <br />services for City and/or Authority. City and/or Authority will pay District the sum due for <br /> <br />overtime compensation for the paramedic Coordinator and/or the Designee. In no event <br /> <br />shall the total payment pursuant to this Agreement exceed the amount shown in paragraph <br /> <br />3 herein, <br /> <br />8. <br /> <br />Battalion Chief Muela' s Employment. In the event that Battalion <br /> <br />Chief Muela's employment with the District is terminated, either voluntary or involuntary, <br /> <br />any party may terminate the Agreement. <br /> <br />9. <br /> <br />Liability. This Agreement shall not be construed as or deemed to be <br /> <br />an Agreement for the benefit of any third party or parties, and no third party or parties <br /> <br />shall have any right of action hereunder for any cause whatsoever. <br /> <br />10. Indemnification. It is agreed that District shall defend, save <br /> <br />harmless and indemnify City and Authority, their respective governing bodies, officers, <br /> <br />directors, employees and/or agents from any and all claims for injuries or damage to <br /> <br />persons and/or property which arise out of the terms and conditions of this Agreement <br /> <br />and which results from negligent or willful acts or omissions of District, its officers, <br /> <br />3 <br />
