<br />directors, employees and/or agents. It is further agreed that City and/or Authority, as the <br /> <br />case may be, shall defend, save harmless and indemnify District, its officers, directors, <br /> <br />employees and/or agents from any claims for injuries or damages to persons or property <br /> <br />arising from the negligent or willful acts or omissions of the City's and/or Authority's <br /> <br />respective employees operating pursuant to this Agreement. <br /> <br />In the event of concurrent negligence of the District, its officers, directors, <br /> <br />employees, and/or agents, City, its officers, employees and/or agents and Authority, its <br /> <br />officers, employees and/or agents, then the liability for any and all claims for injuries or <br /> <br />damages to persons and/or property which arise out of the terms and conditions of this <br /> <br />Agreement shall be apportioned under the California theory of comparative negligence as <br /> <br />established presently, or as may hereafter be modified. <br /> <br />11. <br /> <br />Insurance Requirements. District, City and Authority shall each obtain and <br /> <br />maintain during the term of this Agreement, and furnish each other with certificate of <br /> <br />insurance of comprehensive liability insurance, Coverage shall include, but not be limited <br /> <br />to, losses, damages, claims or demands arising out of bodily injury, including death <br /> <br />resulting therefrom, and/or damage to property, including loss of use thereof, which <br /> <br />results or is alleged to have resulted from the performance or omission of any service or <br /> <br />act called for in this Agreement by the respective insured parties. Amounts of coverage <br /> <br />shall be a minimum of one million for each individual, one million for each occurrence, <br /> <br />one million for property damage. <br /> <br />12. <br /> <br />Termination. This Agreement may be terminated without cause by any <br /> <br />party upon giving written notice thereof to the other parties thirty (30) days or more prior <br /> <br />to the effective date of such termination, which effective date shall be set forth in the <br /> <br />4 <br />
