It is further agreed that City and/or Authority, as the case may be, shall defend, save harmless and indemnify District, its officers, directors, employees and/or agents from any claims for injuries or damages to persons or property arising from the negligent or willful acts or omissions of the City's and/or Authority's respective employees operating pursuant to this Agreement. In the event of concurrent negligence of the District, its officers, directors, employees, and/or agents, City, its officers, employees and/or agents and Authority, its officers, employees and/or agents, then the liability for any and all claims for injuries or damages to persons and/or property which arise out of the terms and conditions of this Agreement shall be apportioned under the California theory of comparative negligence as established presently, or as may hereafter be modified. 11. Insurance Requirements. District, City and Authority shall each obtain and maintain during the term of this Agreement, and furnish each other with certificate of insurance of comprehensive liability insurance, Coverage shall include, but not be limited to, losses, damages, claims or demands arising out of bodily injury, including death resulting therefrom, and/or damage to property, including loss of use thereof, which results or is alleged to have resulted from the performance or omission of any service or act called for in this Agreement by the respective insured parties. Amounts of coverage shall be a minimum of one million for each individual, one million for each occurrence, one million for property damage. 12. Termination. This Agreement may be terminated without cause by any party upon giving written notice thereof to the other parties thirty (30) days or more prior to the effective date of such termination, which effective date shall be set forth in the 4
