Quarterly Review. Beginning on the Commencement Date, and on a quarterly basis 2175 <br />thereafter, Contractor shall meet with Agency and SBWMA to discuss the services 2176 <br />performed by the Contractor pursuant to Sections 7.03 through 7.07 (“Other 2177 <br />Services”). The purpose of the meetings will be to review the performance and results 2178 <br />of the Other Services compared to the milestones, goals, and performance standards 2179 <br />stated in the then-current Three-Year Public Education and Recycling Technical 2180 <br />Assistance Plan. Contractor’s quarterly reports provided in accordance with the 2181 <br />reporting requirements of Article 9 shall be used to review performance, and 2182 <br />Contractor shall provide other information requested by Agency or SBWMA 2183 <br />necessary to evaluate the performance of each Other Service. 2184 <br />B. Change in Services. Agency or SBWMA may, without amending this Agreement, 2185 <br />direct Contractor to increase or decrease the performance or scope of one or more 2186 <br />of the Other Services. Contractor shall promptly and cooperatively comply with such 2187 <br />direction. If such changes cause an increase or decrease in the cost of performing 2188 <br />the Other Services, an equitable adjustment in the Contractor’s Compensation shall 2189 <br />be made in accordance with change in service provisions in Section 15.12. Contractor 2190 <br />shall continue to perform the new or changed service while the appropriate 2191 <br />adjustment in Contractor’s Compensation is being determined. 2192 <br />C. Additional Services. Agency or SBWMA may direct the Contractor to perform 2193 <br />additional services pertaining to Sections 7.03 through 7.07, but not described herein, 2194 <br />and Contractor shall provide a cost proposal in accordance with change in service 2195 <br />provisions in Section 15.12. If the Contractor and SBWMA cannot agree on terms and 2196 <br />conditions for such additional services within one-hundred twenty (120) Days from 2197 <br />the date which the SBWMA first requests a proposal from Contractor to perform such 2198 <br />services, Agency or SBWMA may perform these services itself or permit a third-party 2199 <br />or parties other than Contractor to provide such Other Services. Contractor shall 2200 <br />provide such third-party or parties access to and use of Facilities and Contractor 2201 <br />information as necessary for such third-party or parties to perform all such Other 2202 <br />Services. 2203 <br />2204 <br />6.2.B. - Page 67
