Quarterly Review. Beginning on the Commencement Date, and on a quarterly basis 2175 thereafter, Contractor shall meet with Agency and SBWMA to discuss the services 2176 performed by the Contractor pursuant to Sections 7.03 through 7.07 (“Other 2177 Services”). The purpose of the meetings will be to review the performance and results 2178 of the Other Services compared to the milestones, goals, and performance standards 2179 stated in the then-current Three-Year Public Education and Recycling Technical 2180 Assistance Plan. Contractor’s quarterly reports provided in accordance with the 2181 reporting requirements of Article 9 shall be used to review performance, and 2182 Contractor shall provide other information requested by Agency or SBWMA 2183 necessary to evaluate the performance of each Other Service. 2184 B. Change in Services. Agency or SBWMA may, without amending this Agreement, 2185 direct Contractor to increase or decrease the performance or scope of one or more 2186 of the Other Services. Contractor shall promptly and cooperatively comply with such 2187 direction. If such changes cause an increase or decrease in the cost of performing 2188 the Other Services, an equitable adjustment in the Contractor’s Compensation shall 2189 be made in accordance with change in service provisions in Section 15.12. Contractor 2190 shall continue to perform the new or changed service while the appropriate 2191 adjustment in Contractor’s Compensation is being determined. 2192 C. Additional Services. Agency or SBWMA may direct the Contractor to perform 2193 additional services pertaining to Sections 7.03 through 7.07, but not described herein, 2194 and Contractor shall provide a cost proposal in accordance with change in service 2195 provisions in Section 15.12. If the Contractor and SBWMA cannot agree on terms and 2196 conditions for such additional services within one-hundred twenty (120) Days from 2197 the date which the SBWMA first requests a proposal from Contractor to perform such 2198 services, Agency or SBWMA may perform these services itself or permit a third-party 2199 or parties other than Contractor to provide such Other Services. Contractor shall 2200 provide such third-party or parties access to and use of Facilities and Contractor 2201 information as necessary for such third-party or parties to perform all such Other 2202 Services. 2203 2204 6.2.B. - Page 67
