<br />REV: 03-16-18 MI <br />ATTY/AGR/2018.054/RECOLOGY OF SAN MATEO <br />Page 61 of 119 <br />Contractor shall maintain a spare ratio of ten percent (10%) for all Collection vehicles 2474 <br />used in the SBWMA Service Area. It is contemplated that, as of the Commencement 2475 <br />Date, all Collection vehicles will be vehicles that Contractor purchased during the term 2476 <br />of the 2009 Franchise Agreement and will be nearing the end of their useful life. 2477 <br />Contractor shall purchase and place into service after the Commencement Date all 2478 <br />new vehicles to replace its Collection vehicles and other vehicles used by Contractor 2479 <br />in the SBWMA Service Area in accordance with the Contractor-prepared equipment 2480 <br />replacement schedule in Attachment N. The new vehicles shall replace all vehicles in 2481 <br />service on the Commencement Date. The vehicles shall be purchased and placed in 2482 <br />service in accordance with the timeline shown in Attachment N unless an alternative 2483 <br />timeline is agreed upon by the SBWMA provided that all new vehicles shall be in 2484 <br />service on or before June 15, 2026. The estimated depreciation and interest 2485 <br />expenses for the acquisition of new vehicles shall be included in Contractor’s 2486 <br />Compensation for 2021 and adjustments during the Term shall be made in 2487 <br />accordance with Attachment K. Agency has no responsibility to pay Contractor for 2488 <br />remaining net book value of any Vehicles, Containers, or other equipment that is not 2489 <br />fully depreciated at end of Term, unless Agency elects to purchase Containers 2490 <br />pursuant to Section 8.05.F of the Agreement. 2491 <br />At no time after the Commencement Date shall any vehicle used to perform the 2492 <br />services required under this Agreement exceed fifteen (15) years of age from the first 2493 <br />date the vehicle was registered unless agreed upon by the SBWMA. Collection 2494 <br />vehicles and other vehicles whose acquisition costs are included in the calculation of 2495 <br />Contractor’s Compensation may be used only in the SBWMA Service Area. 2496 <br />B. General Vehicle Specifications 2497 <br />1. All vehicles used by Contractor in providing Solid Waste, Targeted Recyclable 2498 <br />Material, and Organic Material Collection services shall be registered with the 2499 <br />California Department of Motor Vehicles. 2500 <br />2. All Collection vehicles shall have leak-proof bodies designed to prevent leakage, 2501 <br />spillage, and/or overflow and shall be designed so that Collected materials are 2502 <br />not visible. 2503 <br />3. All vehicles shall comply with California Environmental Protection Agency (EPA) 2504 <br />noise emission regulations and California Air Resources Board air quality 2505 <br />regulations and other applicable pollution control regulations. 2506 <br />4. All Collection vehicles shall have cameras to monitor driving and loading 2507 <br />activities including, at a minimum: (i) back-up cameras mounted at the rear and 2508 <br />side of the vehicle; and, (ii) a hopper camera clearly displaying the contents of 2509 <br />the hopper prior to compaction. 2510 <br />5. Contractor shall be required to operate an adequate number of Collection 2511 <br />vehicles that shall be capable of servicing hard-to-service areas and accessing 2512 <br />long driveways in the Service Area. 2513 <br />6. All Collection vehicles shall be capable of unloading materials in the Designated 2514 <br />Transfer and Processing Facility buildings taking clearance heights, especially 2515 <br />in the MRF, into consideration. 2516 <br />7. All Collection vehicles shall be equipped with and shall utilize on-board 2517 <br />computers and GPS tracking devices with real-time transmission to all levels of 2518 <br />6.2.B. - Page 74
