Contractor has planned to 2700 <br />replace Containers that have reached the end of their useful life on a rolling basis 2701 <br />over the Term of the Agreement. Contractor’s estimated depreciation and interest 2702 <br />expense for Container replacement over the Term and these expenses are included 2703 <br />in Contractor’s Compensation in the amount specified in Attachment K. Contractor 2704 <br />shall not be entitled to an adjustment to Contractor’s Compensation or Rates for 2705 <br />Container replacements purchased during the Term of the Agreement. 2706 <br />F. Agency’s Rights to Containers. All Carts, Bins, and Drop Boxes purchased or 2707 <br />leased by Contractor and put into service at Customers’ Premises before the first 2708 <br />anniversary of the Commencement Date shall become property of the Agency upon 2709 <br />expiration or early termination of this Agreement. All Carts, Bins, and Drop Boxes 2710 <br />purchased or leased and put into service at Customers’ Premises on or after the first 2711 <br />anniversary of the Commencement Date that have not been fully depreciated shall 2712 <br />be available to the Agency, at the Agency’s option, at their net book value, upon 2713 <br />expiration or early termination of this Agreement. 2714 <br />At its sole discretion, the Agency may elect not to exercise its rights under this 2715 <br />subsection. In such case, the Containers shall remain the property of the Contractor 2716 <br />upon the expiration or earlier termination of this Agreement. In such case, Contractor 2717 <br />shall be responsible for removing all Containers in service from Premises. Contractor 2718 <br />shall do so within ten (10) Business Days after such expiration or earlier termination 2719 <br />or in accordance with an alternative Container removal schedule agreed upon by the 2720 <br />Parties, provided that Agency has notified Contractor at least ninety (90) Days before 2721 <br />such expiration or earlier termination whether or not it intends to acquire the 2722 <br />Containers. 2723 <br />G. Lock Service (Key Service). In order to promote security, respond to Customer 2724 <br />needs, and minimize the impact or occurrence of illegal dumping and theft of 2725 <br />Recyclable Materials, Contractor will provide to Customers, at the Agency-approved 2726 <br />Charges specified in Attachment Q, locks for enclosures used to store Containers or 2727 <br />locks for Containers and ensure the enclosures or Containers are locked after 2728 <br />providing Collection Service. 2729 <br />Only Contractor, Agency, and the participating Customers will be provided with a key 2730 <br />to the enclosures and access to the Containers. The Contractor shall prominently 2731 <br />display the service schedule on the enclosure and any changes in service shall be 2732 <br />displayed on the enclosure by Contractor within one (1) Business Day of making the 2733 <br />change. If the Carts or Bins are left "outside" in a designated area, each Container 2734 <br />will be locked (keyed alike), and only Contractor staff, Agency staff, and the 2735 <br />participating Customers will be provided with a key to access the Containers. At least 2736 <br />once each calendar year, Contractor’s route supervisor shall visit each of the 2737 <br />participating Customers with shared Containers, respond to any questions or 2738 <br />concerns, check the areas for contamination, litter, or damage and change the lock 2739 <br />and distribute new "keyed alike" keys to Agency staff and Customers. 2740 <br />8.06 PERSONNEL 2741 <br />A. General. Contractor shall furnish such qualified drivers, mechanical, supervisory, 2742 <br />customer service, clerical, and other personnel as may be necessary to provide the 2743 <br />services required by this Agreement in a safe, thorough, professional, and efficient 2744 <br />6.2.B. - Page 79
