ROP at the request of Training Facility may permanently remove from the Training Facility any student whose perfonnance is unsatisfactory or whose personal characteristics prevent desirable relationships within Training Facility. ROP shall assume responsibility for discipline of such students. 10. It is understood and agreed that all student participants shall be ,considered students ofROP and not employees of the staff of Training Facility. They shall not replace Training Facility staff except as may be necessary as part of their educational training and subject to ~y and all applicable laws. The payment made to Consultant pursuant to the Agreement will be the full and complete compensation to which Consultant is entitled. City will not make any federal or state tax withholdings on behalf of Consultant or its agents, employees or subcontractors. Training Facility will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of ROP or its faculty or students. ROP agrees to indenmify Training Facility within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which Training Facility may be required to make on behalf of ROP, its faculty, students, or agents, employees, or subcontractors. 11. Except as specified in this Agreement or in any subsequent amendment hereto, no monetary obligation on the part ofROP or Training Facility is hereby created. 12. ROP may use the name of Training Facility in advertising ROP programs. Training Facility may use the name of The San Mateo County Regional Occupational Program in public relations. 13. All work product produced by ROP students pursuant to this Agreement is the property of Training Facility. In the event this Agreement is terminated, all work product produced by ROP students pursuant to this Agreement will be delivered to City. 14. Any action at law or in equity brought by either of the Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 15. This Agreement, together with any other written document referred to or contemplated by it, embody the entire Agreement and understanding between the parties relating to the subject matter of it. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both parties. 11.15.05 2
