2524 <br />roll -off vehicles) to respond to mechanical breakdowns, Complaints, and <br />2525 <br />emergencies. Contractor shall maintain a spare ratio of ten percent (10%) for all <br />2526 <br />Collection vehicles used in the SBWMA Service Area. It is contemplated that, as of <br />2527 <br />the Commencement Date, all Collection vehicles will be vehicles that Contractor <br />2528 <br />purchased during the term of the 2009 Franchise Agreement and will be nearing the <br />2529 <br />end of their useful life. <br />2530 <br />Contractor shall purchase and place into service after the Commencement Date all <br />2531 <br />new vehicles to replace its Collection vehicles and other vehicles used by <br />2532 <br />Contractor in the SBWMA Service Area in accordance with the Contractor -prepared <br />2533 <br />equipment replacement schedule in Attachment N. The new vehicles shall replace <br />2534 <br />all vehicles in service on the Commencement Date. The vehicles shall be <br />2535 <br />purchased and placed in service in accordance with the timeline shown in <br />2536 <br />Attachment N unless an alternative timeline is agreed upon by the SBWMA <br />2537 <br />provided that all new vehicles shall be in service on or before June 15, 2026. The <br />2538 <br />estimated depreciation and interest expenses for the acquisition of new vehicles <br />2539 <br />shall be included in Contractor's Compensation for 2021 and adjustments during the <br />2540 <br />Term shall be made in accordance with Attachment K. Agency has no responsibility <br />2541 <br />to pay Contractor for remaining net book value of any Vehicles, Containers, or other <br />2542 <br />equipment that is not fully depreciated at end of Term, unless Agency elects to <br />2543 <br />purchase Containers pursuant to Section 8.05.F of the Agreement. <br />2544 At no time after the Commencement Date shall any vehicle used to perform the <br />2545 services required under this Agreement exceed fifteen (15) years of age from the <br />2546 first date the vehicle was registered unless agreed upon by the SBWMA. Collection <br />2547 vehicles and other vehicles whose acquisition costs are included in the calculation <br />2548 of Contractor's Compensation may be used only in the SBWMA Service Area. <br />2549 B. General Vehicle Specifications <br />2550 <br />1. <br />All vehicles used by Contractor in providing Solid Waste, Targeted Recyclable <br />2551 <br />Material, and Organic Material Collection services shall be registered with the <br />2552 <br />California Department of Motor Vehicles. <br />2553 <br />2. <br />All Collection vehicles shall have leak -proof bodies designed to prevent <br />2554 <br />leakage, spillage, and/or overflow and shall be designed so that Collected <br />2555 <br />materials are not visible. <br />2556 <br />3. <br />All vehicles shall comply with California Environmental Protection Agency <br />2557 <br />(EPA) noise emission regulations and California Air Resources Board air <br />2558 <br />quality regulations and other applicable pollution control regulations. <br />2559 <br />4. <br />All Collection vehicles shall have cameras to monitor driving and loading <br />2560 <br />activities including, at a minimum: (i) back-up cameras mounted at the rear and <br />2561 <br />side of the vehicle; and, (ii) a hopper camera clearly displaying the contents of <br />2562 <br />the hopper prior to compaction. <br />2563 <br />5. <br />Contractor shall be required to operate an adequate number of Collection <br />2564 <br />vehicles that shall be capable of servicing hard -to -service areas and accessing <br />2565 <br />long driveways in the Service Area. <br />2566 <br />6. <br />All Collection vehicles shall be capable of unloading materials in the <br />2567 <br />Designated Transfer and Processing Facility buildings taking clearance <br />2568 <br />heights, especially in the MRF, into consideration. <br />REV: 03-16-18 MI <br />Page 62 of 126 <br />ATTY/AGR.2018.054/Recology of San Mateo <br />
